WHEREAS, the City of Newark (the “City”) wishes to provide emergency medical services to its citizens and visitors of the City; and
WHEREAS, the University Hospital /UH-EMS is a State-controlled entity of the State of New Jersey, which provides complete emergency medical services, including E-911 medical dispatch, basic life support, advanced life support and heavy rescue; and
WHEREAS, the City and UH-EMS wishes to enter into a contract for these Emergency Medical Services; and
WHEREAS, this is a no bid contract, awarded without competitive bidding, as an exception to the Local Public Contracts Law, pursuant to N.J.S.A. 40A:11-5(2), the contract between the City and UH-EMS, an agency of the State of New Jersey, is not subject to the Pay-to-Play legislation; and
WHEREAS, the City of Newark adopted the “Contractor Pay-to-Play Reform” ordinance, codified at Section 2:4-22C of the Revised General Ordinances of Newark (hereinafter “Pay-to-Play Reform Ordinance”), which requires reporting of political contributions to candidates for City of Newark elective municipal offices or City of Newark or County of Essex political committees and prohibits certain political contributions during the duration of the contract; and
WHEREAS, reporting requirements pursuant to N.J.S.A. 19:44A-20.5, et seq. and the Pay-to-Play Reform Ordinance are only applicable to business entities as defined therein and as an instrumentality of the State of New Jersey, University Hospital/UH-EMS is therefore not required to submit certain disclosure statements.
NOW, THEREFORE, BE IT RESOLVED BY THE MUNICIPAL COUNCIL OF THE CITY OF NEWARK, NEW JERSEY, THAT:
1. The Mayor and/or his designee, the Acting Director of Public Safety, are hereby authorized to enter into and execute a contract with University Hospital/UH-EMS, 150 Cabinet Street, Newark, New Jersey 07103, for Emergency Medical Services, for the period of January 1, 2015 through December 31, 2017, in an amount not to exceed $7,500,000.00.
2. The Municipal Council hereby ratifies its authorization of this contract from January 1, 2015 to the date of adoption of this authorizing resolution.
3. This contract is awarded without competitive bidding as an exception to the Local Public Contracts Law, pursuant to N.J.S.A. 40A:11-5(2), in that the contract is between the City of Newark and University Hospital/UH-EMS, an agency of the State of New Jersey and is not subject to the Pay-to-Play legislation.
4. The contract is in compliance with the City of Newark’s Pay-to-Play Reform Ordinance.

Attached hereto are three (3) Certifications of Funds from the Chief Financial Officer, which state that there are, in total, sufficient funds for the purpose of meeting the City’s financial obligations under the contract for the year 2016, i.e., $5,000,000.00. More specifically: [i] Certification of Funds 16-HCW315 provides that $2,500,000.00 shall be charged to Business Unit NW051, Dept. ID G15, Division/Project H15MO, Activity A, Account # 71280, Budget Ref. B2015; [ii] Certification of Funds 16-FIR329 provides that $632,442.00 shall be charged to Business Unit NW011, Dept. ID 200, Division/Project 2001, Activity A, Account # 96080, Budget Ref. B2016; and [iii] Certification of Funds 16-FIR330 provides that $1,867,558.00 shall be charged to Business Unit NW011, Dept. ID 206, Division/Project 2061, Activity A, Account # 96080, Budget Ref. B2015. The contract shall include a provision indicating that the contract is subject to the availability and appropriation annually of sufficient funds as may be required to meet the obligations therein and shall be subject to immediate termination in the absence thereof with no further obligation of the City of Newark.
6. If required by State Law, the City Clerk shall provide the appropriate Notice of the Award of this contract to the State Comptroller, no later than twenty (20) business days following such award in accordance with N.J.S.A. 52:15c and the Notice of the Office of the State Comptroller dated May 7, 2008.
7. The Acting Director of Public Safety shall file a fully executed copy of the contract in the Office of the City Clerk.

This resolution hereby ratifies and authorizes the Mayor and/or his designee, the Acting Director of Public Safety, to enter into and execute a contract for Emergency Medical Services with University Hospital/UH-EMS, 150 Cabinet Street, Newark, New Jersey 07103, for the period of January 1, 2015 through December 31, 2017, in an amount not to exceed $7,500,000.00.
