Resolution 7R9-a adopted on February 5, 2025, authorized the Department of Public Safety to utilize Keystone Psychological Services, LLC under a Professional Services agreement for psychological services concerning consultation and evaluation of fitness for duty, pre-employment exams, and Post-Critical Incident Interventions for employees of the Department of Public Safety, Police and Fire Divisions, at an amount not to exceed One Hundred Thousand Dollars and Zero Cents ($100,000.00) during the period of April 1, 2025 through March 31, 2026.
This First Amendment will increase the Contract Amount by $100,000.00, for a new total Contract Amount not to exceed $200,000.00. All other provisions of the Contract shall remain the same.

WHEREAS, Psychological Services are Professional Services and are exempt from the requirements for public bidding pursuant to the Local Public Contracts Law, more specifically, N.J.S.A. 40A:11-5(1)(a)(i); and
WHEREAS, the Newark Municipal Council adopted Resolution 7R9-a on February 9, 2025, authorizing the Department of Public Safety for the City of Newark (“City”) to utilize Keystone Psychological Services, LLC (“Keystone”) under a Professional Services agreement for psychological services concerning consultation and evaluation of fitness for duty, pre-employment exams, and Post-Critical Incident Interventions for employees of the Department of Public Safety, Police and Fire Divisions, for an amount not to exceed One Hundred Thousand Dollars and Zero Cents ($100,000.00) (“Contract Amount”), for a period commencing April 1, 2025 and terminating March 31, 2026 (“Contract Year”); and
WHEREAS, the Contract, and this Contract Amendment was awarded in compliance with Local Public Contracts Law, through the fair and open process, pursuant to N.J.S.A. 19:44A-20.5, and was in compliance with the State Pay-to-Play, and pursuant to N.J.S.A. 40A:11-1 et seq. and is exempt from the requirement of public bidding as a professional; and
WHEREAS, the Department of Public Safety wishes to increase the total Contract Award by One Hundred Thousand Dollars and Zero Cents ($100,000.00); for total amount not to exceed Two Hundred Thousand Dollars and Zero Cents ($200,000.00); and
WHEREAS, Keystone has outstanding psychological service invoices, anticipated bills and open matters, which will exhaust the total contract amount and requires an increase in the total Contract Amount of $100,000.00; and
WHEREAS, the requested increase in the total contract amount is deemed reasonable and necessary to pay the outstanding and anticipated invoices through the remainder of the Contract Year; and
WHEREAS, the increase of an additional One Hundred Thousand Dollars and Zero Cents ($100,000.00), brings the total contract to an amount not to exceed Two Hundred Thousand Dollars and Zero Cents ($200,000.00) for April 1, 2025 through March 31, 2026; and
WHEREAS, the Local Public Contracts Law (N.J.S.A. 40A:11-1 et seq.) requires that notice of the award of contract for “Professional Services” without competitive bidding must be published in a local newspaper; and
WHEREAS, all other Contract terms and conditions shall remain the same.
NOW, THEREFORE, BE IT RESOLVED BY THE MUNICIPAL COUNCIL OF THE CITY OF NEWARK, NEW JERSEY, THAT:
1. The Mayor of the City of Newark and/or his designees, the Business Administrator, and/or the Director of the Department of Public Safety, on behalf of the City of Newark, is hereby authorized to enter into and execute a First Amendment to the Agreement to Provide psychological services, including evaluations for fitness for duty, pre-employment examinations, re-evaluations, recruit screening, post-critical incident interventions, related testing, medical consultations and expert testimony, for the Department of Public Safety, Police and Fire Division with Keystone Psychological Services, LLC, 39 Matrick Court, Hillsborough, New Jersey 08844, to continue providing psychological services concerning the Department of Public Safety, matters for an additional One Hundred Thousand Dollars and Zero Cents ($100,000.00) for a total contract amount not to exceed Two Hundred Thousand Dollars and Zero Cents ($200,000.00) for the contract period of April 1, 2025 through March 31, 2026, to cover the outstanding service invoices, ongoing and new matters that may arise during the term of the contract.
2. The Newark Municipal Council hereby ratifies this First Amendment to the Agreement to Provide psychological services from April 1, 2025 to the date of the adoption of this Resolution.
3. All other terms and conditions of the Contract shall remain the same.
4. The First Amendment to the Agreement to provide psychological Services is made in accordance with the Professional Services Exception to public bidding in the Local Public Contract Law (N.J.S.A. 40A:11-5(1)(a)(i)), and pursuant to the Fair and Open Procedures of the State Pay-to-Play (N.J.S.A. 19:44A-20.5).
5. Pursuant to N.J.A.C. 5:30-5.5, attached hereto is Comptroller’s partial certification of funds which states that funds in the amount of Two Thousand One Hundred Dollars and Zero Cents ($2,100.00), are available in the 2025 Budget under Business Unit: NW011-190-1902-71210-B2025, in the aforementioned Department of Public Safety Budget. All Certifications of Funds shall be filed along with the original Resolution in the Office of the City Clerk.
6. The Qualified Purchasing Agent, QPA, shall file a copy of this Resolution, along with the Certification of Funds, and the duly executed copy of the First Amendment in the Office of the City Clerk.
7. A notice of this action shall be published in the newspaper as required by law within ten (10) days of adoption of this Resolution.
