WHEREAS, the Municipal Council of the City of Newark (the “City”),desires to hold the 2026 Inauguration/Organizational Meeting at the Prudential Hall Theatre, the Victoria Theater, the Parsonnet Room, Green Room and the Jacqua Lounge located in the New Jersey Performing Arts Center (“NJPAC” or “Licensed Facility”) on Wednesday, July 1, 2026; and
WHEREAS, the New Jersey Performing Arts Center (NJPAC) Corporation, a New Jersey not-for-profit corporation, having an office at One Center Street, Newark, New Jersey 07102, through negotiation, has offered to waive the Basic License Fee for the use of the Prudential Hall Theatre, the Victoria Theater and the Parsonnet Room, which represents a gift to the City valued at Twenty-Nine Thousand Five Hundred Dollars and Zero Cents ($29,500.00); and
WHEREAS, NJPAC Corporation expects nothing, and will receive nothing in return for this generous gift; and
WHEREAS, ancillary service fees in connection with the holding of the 2026 Inauguration/Organizational Meeting are currently estimated at Fifty-Seven Thousand Five Hundred Dollars and Zero Cents ($57,500.00), but are subject to change depending upon related production fees, which are based on the event needs on the day of the event; and
WHEREAS, to hold the 2026 Inauguration/Organizational Meeting at NJPAC and to procure the ancillary services, the City must enter into a Short Term License Agreement; and
WHEREAS, the City wishes simultaneously to accept the fee-waiver gift valued at Twenty-Nine Thousand Five Hundred Dollars and Zero Cents ($29,500.00) and to authorize the Short-Term License Agreement; and
WHEREAS, the Mayor and the Municipal Council of the City of Newark support the execution of the Short Term License Agreement and the acceptance of the gift.
NOW, THEREFORE, BE IT RESOLVED BY THE MUNICIPAL COUNCIL OF THE CITY OF NEWARK, NEW JERSEY, THAT:
1. The City Clerk, on behalf of the City of Newark and for the purpose of holding the 2026 Inauguration/Organizational Meeting (“Event”), is hereby authorized to accept from the New Jersey Performing Arts Center Corporation a gift in the form of a waiver of the basic license fee for the use of Prudential Hall Theatre, Victoria Theater and the Parsonnet Room, which gift is valued at Twenty-Nine Thousand Five Hundred Dollars and Zero Cents ($29,500.00) and is being accepted pursuant to N.J.S.A. 40A:5-29.
2. The City Clerk is further authorized to enter into a Short-Term License Agreement with New Jersey Performing Arts Center Corporation for ancillary services in connection with the use of NJPAC for the Event. The Short-Term License Agreement shall be in a form substantially similar to the Short-Term License Agreement attached hereto as Exhibit A. Amounts paid for ancillary services shall not exceed Fifty-Seven Thousand Five Hundred Dollars and Zero Cents ($57,500.00). The authorization granted by this Resolution shall remain valid through the holding of the Event.
3. No municipal funds will be expended for the acceptance of the gift.
4. Attached hereto is a Certification of Funds from the Director of the Department of Finance which states that sufficient funds in the amount of Fifty-Seven Thousand Five Hundred Dollars and Zero Cents ($57,500.00) are available for the procurement of ancillary services in budget account: Business Unit NW011, Department ID 020, Division/Project 0201, Activity #A, Account # 96120, Budget Reference # 2026.
5. The City Clerk shall maintain a copy of the Short-Term License Agreement on file in the Office of the City Clerk.
6. There shall be no amendments to the Short-Term License Agreement, unless the amendments are in a writing, executed by both parties, and approved by the Municipal Council by Resolution.
STATEMENT
This Resolution authorizes the City Clerk, on behalf of the City of Newark to enter into and execute a Short Term License Agreement, with the New Jersey Performing Arts Center Corporation, of One Center Street, Newark, New Jersey 07102, for the use of the Prudential Hall Theatre, the Victoria Theater, the Parsonnet Room, Green Room and the Jacqua Lounge for the 2026 Inauguration/Organizational Meeting to be held on Wednesday, July 1, 2026. The venue for the Inauguration/Organizational Meeting (event) is being provided as a gift. Ancillary Services Fees in connection with the holding of the event are estimated to be $57,500.00. This Resolution authorizes the City Clerk to accept the gift which is valued at $29,500.00 and to enter into a Short-Term License Agreement governing the expenditure of the ancillary fees. The NJPAC Corporation expects nothing and will receive nothing in return for the gift. No municipal funds will be expended for the acceptance of this gift.
