WHEREAS, the City of Newark, Department of Health and Community Wellness/Mary Eliza Mahoney Health Centers, require after-hours, weekends and holidays on-call telephone coverage in the Mary Eliza Mahoney Health Centers (hereinafter referred to as Health Centers), which is required by law at New Jersey Licensure Ambulatory Care Facilities and Federal Regulations; and
 
WHEREAS, on or about March 19, 2014, through Resolution 7R2-d (AS) the Municipal Council authorized the Mayor and/or the Director of Child and Family Well-Being, now known as Department of Health and Community Wellness, to enter into a contract with Forest Hill Health Associates, PA, to provide a Board Certified Physician/Medical Director Consultant to provide after-hour coverage in an amount not to exceed $82,125.00, for the term to commence upon adoption and not to exceed one year; and
 
WHEREAS, Forest Hill Family Health Associates, PA, resigned from their  position as Medical Director Consultant for the Federally Qualified Health Centers, n/k/a Mary Eliza Mahoney Health Centers, their resignation resulted in the termination of the contract entered into via Resolution 7R2-d(AS) March 19, 2014 (a copy of the letter is attached); and
 
 
WHEREAS, the City of Newark entered into an Emergency Contract #E2014-14 for the period of July 17, 2014 through October 16, 2014, pursuant to 6PSFe April 6, 2011[2:5-13.2(E)(1)] for Medical Director Consultant Services; and
 
WHEREAS, on September 23, 2014, the Department of Health and Community Wellness, consistent with N.J.S.A. 19:44A-20.5, advertised a Request for Proposal, a copy of which is attached, under the Fair and Open Process. The Request for Proposal return date was October 8, 2014; and
 
WHEREAS, on October 8, 2014, the Department of Health and Community Wellness received one (1) proposal which was opened on October 8, 2014 and entered on the  bid receipt sheet, a copy of which is attached; and
 
WHEREAS, the proposal received from Valley Spring Family Medicine, 2040 Millburn Avenue, Suite 205, Maplewood, New Jersey 07040, was most advantageous to the City of Newark based on experience and on criteria as listed on the Request For Proposal; and
 
WHEREAS, the City of Newark wishes to enter into an agreement with the Contractor, Valley Spring Family Medicine, 2040 Millburn Avenue, Suite 205, Maplewood, New Jersey 07040, to provide after-hours, weekends and holidays on-call telephone coverage at the Health Centers, in the amount not to exceed seventy two thousand dollars and no cents ($72,000.00 @ $6,000.00 monthly); and
 
WHEREAS, the contract awarded pursuant to the Fair and Open Process N.J.S.A.19:44A-20.5, pursuant to Local Public Contracts Law N.J.S.A.40A:11-1, and is in compliance with Executive Order MEO-07-0001, effective March 31, 2007; and
 
WHEREAS, this contract shall be awarded as an open-ended contract and shall not exceed seventy two thousand dollars and no cents ($72,000.00 @ $6,000.00 monthly), for the period of October 17, 2014 through October 16, 2015.
 
NOW, THEREFORE, BE IT RESOLVED BY THE MUNICIPAL COUNCIL OF THE CITY OF NEWARK, NEW JERSEY, THAT:
 
1.      The Mayor and/or his designee, the Director of the Department of Health and Community Wellness, are hereby authorized to enter into and execute  a contract with Valley Spring Family Medicine, 2040 Millburn Avenue, Suite 205, Maplewood, New Jersey 07040, to provide after-hours, weekends and holidays on-call telephone coverage in the Health Centers, in the amount not to exceed seventy two thousand dollars and no cents ($72,000.00 @$6,000.00 monthly), for the period of October 17, 2014 through October 16, 2015.
 
2.      The contract is ratified from October 17, 2014 to the date of adoption of this resolution by the Municipal Council.
 
3.      The contract is awarded pursuant to the Fair and Open Process of N.J.S.A. 19:44A-20.5 and pursuant to Local Public Contracts Law (N.J.S.A. 40A:11-4.1), which provides that a contract of this type itself must be available for public inspection.
 
4.      The contract is in compliance with Newark Executive Order MEO-07-0001, effective March 31, 2007.
 
5.      The contract is further awarded as an open-ended contract pursuant to N.J.A.C.5:30-5.5(b)(2). A Certification of Funds shall be executed each time services are used and charged against this contract.
 
6.      A notice of this action shall be published in the newspaper authorized by law to publish a legal advertisement and as required by law within ten (10) days of its passage.
 
7.      A copy of the proposed Contract is attached hereto.
 
8.      A duly executed copy of the foresaid Contract shall be filed forthwith in the Office of the City Clerk by the Director of the Department of Health and Community Wellness.
 
 
STATEMENT:
 
This Resolution ratifies and authorizes the Mayor and/or his designee, the Director of Health and Community Wellness, to enter into and execute a contract with Valley Spring Family Medicine, 2040 Millburn Avenue, Suite 205, Maplewood, New Jersey 07040, to provide after-hours, weekends and holidays on-call telephone coverage in the Health Centers, in the amount not to exceed seventy two thousand dollars and no cents ($72,000.00 @ $6,000.00 monthly), for the period of October 17, 2014 through October 16, 2015.
