WHEREAS, the City of Newark (“City”) possesses real property designated as Block 903, Lot 1 on the City’s official tax maps, with address at 2-24 Tichenor Lane, City of Newark, Essex County, New Jersey 07114 and commonly known as Raymond A. Brown Park (the “Park”); and
WHEREAS, Invest Newark, a New Jersey Nonprofit Corporation, 111 Mulberry Street, Newark, New Jersey 07102 (“Invest Newark”), with funds which it applied for and received from the New Jersey Economic Development Authority on the City’s behalf, desires to construct certain improvements in the Park, which improvements will benefit the City’s residents and promote community welfare; and
WHEREAS, the City desires to grant Invest Newark the right of access to the Park to construct said improvements with the express understanding that (1) the improvements will be constructed in accordance with the construction plans and illustrations set forth in those certain bid specifications for “Raymond Brown Park Improvements” issued by Invest Newark on August 07, 2026 and which are attached hereto (“Bid Specifications”) and (2) the said improvements will become the property of the City upon the completion of their construction; and
WHEREAS, Invest Newark acknowledges that the right of access being granted herein does not lease, convey, or grant any portion of the Park to Invest Newark.
NOW, THEREFORE, BE IT RESOLVED BY THE MUNICIPAL COUNCIL OF THE CITY OF NEWARK, NEW JERSEY, THAT:
1. The Mayor of the City of Newark and/or his designee, the Director of the Department of Recreation, Cultural Affairs and Senior Services (“Director”), are authorized to enter into and execute a Right of Access and Construction Agreement (“Agreement”) with Invest Newark, a New Jersey Nonprofit Corporation, 111 Mulberry Street, Newark, New Jersey 07102 (“Invest Newark”), in substantially the form as the Right of Access and Construction Agreement attached hereto, to construct in Raymond A. Brown Park the improvements described in the Bid Specifications.
2. The Agreement shall be in effect until the said improvements are completed.
3. No expenditure of City funds is required with the execution of the Agreement.
4. The Director shall cause a copy of the executed Agreement to be filed together with this Resolution in the Office of the City Clerk.
5. The authorization granted by this Resolution is ratified back to August 17, 2026.

This Resolution ratifies and authorizes the Mayor and/or his designee, the Director of the Department of Recreation, Cultural Affairs and Senior Services to enter into and execute a Right of Access and Construction Agreement with Invest Newark, a New Jersey Nonprofit Corporation, 111 Mulberry Street, Newark, New Jersey 07102, to construct certain improvements in Raymond A.
