WHEREAS, the City of Newark wishes to provide emergency medical services to its citizens and visitors of the City of Newark; and
WHEREAS, the University of Medicine and Dentistry of New Jersey University Hospital, hereinafter UMDNJ-EMS, is a state controlled entity of the State of New Jersey, which provides complete emergency medical services including E-911 medical dispatch, basic life support, advanced life support and heavy rescue; and
WHEREAS, the City of Newark and UMDNJ-EMS wishes to enter into a contract for these emergency medical services; and
WHEREAS, this is a no-bid contract, awarded without competitive bidding, as an exception to the Local Public Contracts Law pursuant to N.J.S.A.40A: 11-5(2) and 40A:11-15(21), the contract is between the City of Newark and UMDNJ-EMS, an agency of the State of New Jersey, and is not subject to the Pay-to-Play legislation; and
WHEREAS, the Mayor of the City of Newark signed into Executive Order MEO-07-0001,hereinafter "Pay-to-Play Executive Order", which requires reporting of political contributions to Newark Candidates for Public Office and prohibits certain political contributions during the duration of the contract; and
WHEREAS, UMDNJ-EMS is a government entity of the State of New Jersey in compliance with Executive Order MEO-07-0001.

NOW, THEREFORE, BE IT RESOLVED BY THE MUNICIPAL COUNCIL OF THE CITY OF NEWARK, NEW JERSEY, THAT:
1. The Mayor and/or his designee(s), the Directors of the Departments of Child and Family Well-Being and Finance of the City of Newark, are hereby authorized to enter into and execute a contract with UMDNJ-EMS for emergency medical services, for the period of January 1, 2012 through December 31, 2012, in an amount not to exceed $4,350,000.00.
2. The Municipal Council hereby ratifies its authorization of this contract from January 1, 2012 to the date of adoption of this authorizing resolution.
3. This contract is awarded without competitive bidding as an exception to the Local Public Contracts Law pursuant to N.J.S.A.40A: 11-5(2) and 40A:11-15(21), in that the contract is between the City of Newark and UMDNJ-EMS, an agency of the State of New Jersey and is not subject to the Pay-to-Play legislation.
4. The contract is in compliance with Newark Executive Order MEO-07-0001, effective March 31, 2007.
5. Attached hereto is a partial certification of funds in the amount $1,181,250.00, which shall be charged to: Business Unit 011; Dept. ID 200; Division 2001; Account 96080). This states that there are available legally appropriated funds for the purpose set forth hereinabove.
6. This resolution further authorizes the Directors of Child and Family Well-Being and Finance Departments of the City of Newark, to extend this contract to its full value of $4,350,000.00, when the balance of funds in the amount of $3,168,750.00 becomes available and certified, contingent upon appropriation as required by N.J.A.C. 5:30-5.5(a)(2). The certifications of funds shall be filed in the Office of the City Clerk.
7. Performance of this contract is subject to the annual availability and appropriation of sufficient funds as may be required to meet the extended obligation of this contract pursuant to N.J.S.A.40A:11-15.
8. If required by State law, the City Clerk shall provide the appropriate notice of the award of this contract to the State Comptroller no later than (20) business days following such award in accordance with N.J.S.A.52:15c and the Notice of the Office of State Comptroller dated May 7, 2008.
9. The Directors of the Departments of Child and Family Well-Being and Finance shall file a fully executed copy of the contract in the Office of the City Clerk.
STATEMENT:
This resolution ratifies and authorizes the Mayor and/or his designee(s) the Directors of Child and Family Well-Being and Finance to enter into and execute a contract for emergency medical services with the University of Medicine and Dentistry of New Jersey (UMDNJ-EMS), for the period of January 1, 2012 through December 31, 2012, in an amount not to exceed $4,350,000.00.
