WHEREAS, the City of Newark Department of Health and Community Wellness/Mary Eliza Mahoney Health Centers requires a Medical Director, to assist in the organization and assignment of medical staff, monitoring the activities of the medical staff to ensure that productivity and quality levels are met and management of the Health Centers; and
WHEREAS, on August 28, 2015, the Department of Health and Community Wellness, consistent with N.J.S.A. 19:44A-20.5, advertised a Request for Proposal, a copy of which is attached, under the Fair and Open Process. The Request for Proposal return date was September 25, 2015; and
WHEREAS, on September 25, 2015, the Department of Health and Community Wellness received one (1) proposal which was opened on September 25, 2015 and entered on the bid receipt sheet, a copy of which is attached; and
WHEREAS, the proposal received from Valley Spring Family Medicine, 2040 Millburn Avenue, Suite 205, Maplewood, New Jersey 07040, was most advantageous to the City of Newark based on experience and on criteria as listed on the Request For Proposal; and
WHEREAS, the Contractor, Valley Spring Family Medicine, have represented that they are qualified by training and experience to provide the required services in the manner and the terms and conditions set forth in the proposed contract; and
WHEREAS, the City of Newark wishes to enter into an agreement with the Contractor, Valley Spring Family Medicine, 2040 Millburn Avenue, Suite 205 Maplewood, New Jersey 07040, providing the services of Kathyann S. Duncan, MD, to act as Medical Director for the Department of Health and Community Wellness/Mary Eliza Mahoney Health Centers, for a total amount not to exceed One Hundred Fifty-Nine Thousand Dollars and Zero Cents ($159,000.00); and
WHEREAS the contract awarded pursuant to the Fair and Open Process N.J.S.A. 19:44A-20.5, pursuant to Local Public Contracts Law N.J.S.A. 40A:11-1, and is in compliance with; and
WHEREAS, the Municipal Council adopted the Contractor Pay-to-Play Reform Ordinance, R.O. 2:4-22C, which forbids the award of a contract to a Business Entity, as defined therein, which has made or solicited political contributions to Newark Municipal Candidates, office holders having ultimate responsibility for the award of a contract; candidate committees of the aforementioned candidates; and political or political party committees of the City of Newark or County of Essex; and continuing political committees or political action committees regularly engaged in the support of the City of Newark municipal or County of Essex elections; and certain other political party or candidate committees, in excess of certain thresholds; and
WHEREAS, this contract shall be awarded as an open-ended contract and shall not exceed One Hundred Fifty-Nine Thousand Dollars and Zero Cents ($159,000.00), for the period of October 17, 2015 through October 16, 2016.
NOW, THEREFORE, BE IT RESOLVED BY THE MUNICIPAL COUNCIL OF THE CITY OF NEWARK, NEW JERSEY, THAT:
1. The Mayor and/or his designee, the Director of the Department of Health and Community Wellness, are hereby authorized to enter into and execute an open-ended contract with Valley Spring Family Medicine, 2040 Millburn Avenue, Suite 205, Maplewood, New Jersey 07040, providing the services of Kathyann S. Duncan, MD, to act as Medical Director for the Department of Health and Community Wellness/Mary Eliza Mahoney Health Centers (hereafter referred to as “Medical Director”), for a total amount not to exceed One Hundred Fifty-Nine Thousand Dollars and Zero Cents ($159,000.00), for the period October 17, 2015 through October 16, 2016.
2. The contract is awarded pursuant to the Fair and Open Process of N.J.S.A. 19:44A-20.5 and competitive bidding contract pursuant to Local Public Contracts Law, N.J.S.A. 40A:11-4.1.
3. The contract between the City of Newark and Valley Spring Family Medicine, is ratified from October 17, 2015 to date of adoption of this authorizing resolution
4. The contract is awarded as an open-ended contract pursuant to N.J.A.C.5:30-5.5(b) (2). A Certification of Funds shall be executed each time services are used and charged against this contract. A copy of a partial Certification of Funds is attached Fund Code 101; Dept. ID 129; Div./Project 1202; Account 71280; Budget Ref. B2015.
5. A notice of this action as required by law shall be published in the newspaper as a legal advertisement within ten (10) days of its passage and made available for public inspection.
6. A copy of the proposed Contract is attached hereto.
7. A duly executed copy of the aforesaid Contract shall be filed forthwith in the Office of the City Clerk by the Director of the Department of Health and Community Wellness.
STATEMENT
This resolution ratifies and authorizes the Mayor and/or his designee, the Director of Health and Community Wellness, to enter into and execute an open-ended contract with Valley Spring Family Medicine, 2040 Millburn Avenue, Suite 205, Maplewood, New Jersey 07040, providing the services of Kathyann S. Duncan, MD, to perform the services of Medical Director for the Department of Health and Community Wellness/Mary Eliza Mahoney Health Centers, for a total amount not to exceed One Hundred Fifty-Nine Thousand Dollars and Zero Cents ($159,000.00), for the period of October 17, 2015 through October 16, 2016.
