WHEREAS, the City of Newark is involved in ongoing complex redevelopment and land use matters and therefore has a need for continued legal services pursuant to the provisions of N.J.S.A. 19:44A-20.5; and
WHEREAS, pursuant to Resolution 7R3-c adopted on January 23, 2013, the City of Newark is currently under contract with Gluck Walrath LLP (hereinafter "Gluck Walrath") with offices located at 428 Riverview Plaza, Trenton, New Jersey 08611. to provide legal services concerning redevelopment and land use matters for the period of January 1, 2013 to December 31, 2013, for an amount not to exceed Four Hundred Fifty Thousand Dollars ($450,000.00); and
WHEREAS, as a result of ongoing redevelopment and land use matters, the City of Newark seeks to amend the terms of the existing Agreement between the City and Gluck Walrath to increase the funds available by Two Hundred Fifty Thousand Dollars ($250,000.00), for a total contract amount not to exceed Seven Hundred Thousand Dollars ($700,000.00), for the period of January 1, 2013 to December 31, 2013 (hereinafter "Amended Contract"); and
WHEREAS, this contract is for an amount over $17,500 and was awarded through the "fair and open process" pursuant to N.J.S.A. 19:44A-20.5; and
WHEREAS, the Mayor of the City of Newark signed into law Executive Order Number MEO-07-0001 (hereinafter "Pay-to-Play Executive Order"), which requires reporting of political contributions to Newark Municipal Candidates and prohibits certain political contributions during the duration of the contracts.
NOW, THEREFORE, BE IT RESOLVED BY THE MUNICIPAL COUNCIL OF THE CITY OF NEWARK, NEW JERSEY, THAT:
1. The Mayor and/or his designee the Deputy Mayor/Director of Economic and Housing Development of the City of Newark are hereby authorized and directed on behalf of the City of Newark to enter into an Amended Agreement with Gluck Walrath, with offices located at 428 Riverview Plaza, Trenton, New Jersey 08611 to provide legal services concerning redevelopment and land use matters, by increasing the amount of funds available by Two Hundred Fifty Thousand Dollars ($250,000.00), for a total contract amount not to exceed Seven Hundred Thousand Dollars ($700,000.00), for the period of January 1, 2013 to December 31, 2013.
2. This contract was awarded pursuant to the fair and open procedures of the Local Public Contracts Law as a "Professional Service" in accordance with N.J.S.A. 40A:11-5(a)(i) because the performance of the services required must be performed by someone who is licensed to practice law in the State of New Jersey.
3. This contract was awarded pursuant to the fair and open procedures of the State Pay-to-Play Law (N.J.S.A. 19:44A-20.5) and pursuant to the provisions of the Local Public Contracts Law (N.J.S.A. 40 A:11-5(1)(a)(i) and is in compliance with the Pay-to-Play Executive Order.
4. Attached hereto is a certification of funds from the Director of Finance of the City if Newark, in the amount of Two Hundred Fifty Thousand Dollars ($250,000.00) which states that (1) there are sufficient funds for the purposes set forth hereinabove and (2) the line appropriation of the official budget which shall be charged is Business Unit NW026; Department BS; Account 32100, Budget Ref. B2013.
5. A copy of the executed agreement herein authorized shall be filed in the Office of the City Clerk by the Department of Economic and Housing Development and shall be made available for public inspection.
6. A notice of this action shall be published in the newspaper authorized by law to publish a legal advertisement and as required by law within ten (10) days of the adoption of this Resolution.
STATEMENT
This Resolution authorizes the Mayor and/or his designee the Deputy Mayor/Director of Economic and Housing Development and the City of Newark to enter into an Amendment to the Agreement to Provide Legal Services concerning redevelopment and land use matters with Gluck Walrath, LLP, 428 Riverview Plaza, Trenton, New Jersey 08611, by increasing the funds available by Two Hundred Fifty Thousand Dollars ($250,000.00), for a total contract amount not to exceed Seven Hundred Thousand Dollars ($700,000.00), for the period of January 1, 2013 to December 31, 2013.
