WHEREAS, the City of Newark on behalf of the Municipal Council advertised an RFQ for Statutory Auditor services pursuant to N.J.S.A. 40A:5-4 for Year ending December 31, 2012 and related accounting and auditing services for the Municipal Council; and
WHEREAS, accounting and auditing services are professional services, exempt from public bidding in accordance with the Local Public Contracts Law, N.J.S.A. 40A:11-1, et seq.; and
WHEREAS, only one response was received from Samuel Klein and Company, 550 Broad Street, Newark, New Jersey, 07102; and
WHEREAS, by Resolution 7 R9A, adopted on March 7, 2012, the Municipal Council awarded a contract to Samuel Klein and Company in the amount of $730,250.00; and
WHEREAS, the New Jersey Department of Community Affair's requested that that the contract be amended to include only the fees for services relating to the 2012 Budget process in the amount of $150,000.00 and, services relating to a bond and note sale, , , in the amount of $60,500.00, respectively, for a total contract amount of $210,500.00; and
WHEREAS, the City is desirous of amending the total contract amount awarded to Samuel Klein and Company from $730,250.00 to an amended total contract amount of $210,500.00 and to change the scope of services, accordingly.
NOW THEREFORE, BE IT RESOLVED BY THE MUNICIPAL COUNCIL OF THE CITY OF NEWARK, NEW JERSEY, THAT:
1. The Municipal Council President of the City of Newark is hereby authorized to execute an Amendment to the Contract with Samuel Klein and Company, 550 Broad Street, Newark, New Jersey 07102, to decrease the total amount of the contract by $519,750.00, thereby amending the total contract amount from $730,250.00 to $210,500.00 and to change the scope of services to include only services relating to the 2012 Budget process and a bond and note sale .
2. Attached hereto is the Comptroller's certification which states that there are sufficient funds in the amount of $210,500.00 available in the 2012 Adopted Budget, Fund 011, Agency 020, Organization 0201, Line 7125. This certification shall be filed along with the original resolution and the fully executed Amendment to Contract in the Office of the City Clerk.
3. The underlying contract and this amendment was awarded without public bidding pursuant to the professional exception of the Local Public Contracts Law, N.J.S.A. 40A:11-5(1)(a)(ii).
4. The Amendment to Contract will contain language prohibiting the making of or solicitation of any contributions during the term of the contract in violation of any state or local law.
5. A copy of the fully executed agreement herein authorized shall be filed in the Office of the City Clerk and shall be made available for public inspection.
6. A notice of this action shall be published in the newspaper authorized by law to public a legal advertisement as required by law within 10 days of its passage.
7. The term of the contract, August 3, 2011 to August 2, 2012, remains the same.

This resolution authorizes the execution of an Amendment to Contract between the City of Newark and Samuel Klein and Company, 550 Broad Street, Newark, New Jersey 07102, to decrease the total amount of the contract by $519,750.00, thereby amending the total contract amount from $730,250.00 to $210,500.00 and amending the scope of services.
