WHEREAS, the Department of Engineering is in need of a State of New Jersey Licensed Site Remediation Professional (hereinafter, "LSRP"), to provide design, bid document preparation and construction management for the Environmental Remediation Closure of active New Jersey Department of Environmental Protection Investigations for Essex County Improvement Authority ("ECIA") Sale-Lease Back Buildings (seven (7) sites; and
 
WHEREAS, the services of a LSRP constitute professional services pursuant to the Local Public Contracts Law, N.J.S.A. 40A:11-1, et seq. and are exempt from public bidding; and
 
WHEREAS, the seven (7) site locations for which LSRP services are required are as follows:

WHEREAS, on June 17, 2013, the Department of Engineering advertised a Request for Proposal ("RFP"), for the submission of cost proposals from qualified LSRP firms to provide LSRP professional services for the Environmental Remediation Closure of seven (7) ECIA Sale-Lease Back Buildings; and
 
WHEREAS, on July 16, 2013 firms and individuals submitted qualification statements and cost proposals; and
 
WHEREAS, after a review of the proposals submitted, the Director of the Department of Engineering has determined that GZA GeoEnvironmental, Inc.,  55 Lane Road, Suite 407, Fairfield, New Jersey 07004, which submitted the lowest, numerical cost proposal, has the requisite expertise and experience to address the needs of the City of Newark and recommends an award of Contract #03-2013PS Licensed Site Remediation Professional Services for Essex County Improvement Authority ("ECIA") Sale-Lease Back Buildings (Seven (7) Sites) to GZA GeoEnvironmental, Inc., for an amount not to exceed $146,595.00; and
 
WHEREAS, the award of this contract through an RFP process, constitutes a Fair and Open Process pursuant to the Local Unit Pay-to-Play Law, N.J.S.A. 19:44A-10.5 et seq.; and
 
WHEREAS, the Mayor of the City of Newark signed into law Executive Order Number MEO-07-0001 (hereinafter "Pay-to-Play Executive Order") and the Municipal Council adopted Contractor Pay-to-Play Reform, Ordinance 6PSF-A, on August 8, 2011, which requires the reporting of political contributions to certain candidates and political committees and prohibits the solicitation and making of prohibited political contributions during the duration of the contract; and
 
WHEREAS, GZA GeoEnvironmental, Inc. has completed a Business Entity Disclosure Statement and other required Pay-to-Play Forms, the original of which shall be placed on file with the contract in the Office of the City Clerk.
 
 
NOW, THEREFORE, BE IT RESOLVED BY THE MUNICIPAL COUNCIL OF THE CITY OF NEWARK, NEW JERSEY, THAT:
 
1.      The Mayor and/or his designee, the Director of the Department of Engineering is hereby authorized on behalf of the City of Newark to enter into and execute a professional services contract, referred to as Contract #03-2013PS Licensed Site Remediation Professional (LSRP) Services for Essex County Improvement Authority ("ECIA") Sale-Lease Back Buildings (Seven (7) Sites) with GZA GeoEnvironmental, Inc.,  55 Lane Road, Suite 407, Fairfield, New Jersey 07004, for an amount not to exceed $146,595.00.
 
2.      The term of this contract shall be one (1) year from the date a formal "Notice to Proceed" is issued by the Director of Engineering and/or his designee.  
 
3.      No changes to this contract shall be allowed or authorized without prior Municipal Council approval.
 
4.      There shall be no advance payments made against this contract in accordance with N.J.A.C. 40A:5-16.
 
5.      A fully executed copy of the contract shall be filed in the Office of the City Clerk, by the Director of Engineering and/or his designee.
 
6.      GZA GeoEnvironmental, Inc., 55 Lane Road, Suite 407, Fairfield, New Jersey 07004, has certified that it has neither made nor will make a prohibited contribution in violation of any applicable Federal or State laws, or City Ordinances, including, but not limited to the Executive Order on Pay to Play Reform (MEO-7-0001) and the Contractor Pay-to-Play Reform, Ordinance 6PSF-A adopted on August 1, 2011, as may be amended from time to time.  Any such failure shall constitute a breach of the contract.
 
7.      A notice of this action shall be printed in a local newspaper as required by law within ten (10) daysof its  passage.
 
8.      There is no required City of Newark funding for this project.
 
9.      Funds for this contract in the amount of $146,595.00 shall be provided by the Essex County Improvement Authority ("ECIA") through the Bank of New York Mellon and payments made for this project shall be monitored by the City of Newark, Department of Finance.
 
 
STATEMENT
 
This resolution hereby authorizes the Mayor and/or his designee, the Director of the Department of Engineering, to enter into and execute a professional services contract on behalf of the City of Newark referred to as Contract #03-2013PS Licensed Site Remediation Professional (LSRP) Services for Essex County Improvement Authority ("ECIA") Sale-Lease Back Buildings (Seven (7) Sites) with GZA GeoEnvironmental, Inc.,
55 Lane Road, Suite 407, Fairfield, New Jersey 07004, for a period of one (1) year from the date a formal "Notice to Proceed" issued by the Director of Engineering and/or his designee for an amount not to exceed $146,595.00.
