WHEREAS, the City of Newark Department of Health and Community Wellness (DHCW), wishes to continue to provide system support maintenance and enhancement including dental services for an existing licensed oracle/practice management electronic medical record system implementation consistent with N.J.S.A. 40A:11-5(1)(dd) et seq.; and

 

WHEREAS, the DHCW, entered into a contract, pursuant to the fair and open process, with Greenway EHS, Inc., pursuant to Resolution 7R2-a (S) August 23, 2016, to provide support, maintenance and enhancement including dental services, for an existing licensed Practice Management System Electronic Medical Records System for an existing Comprehensive Practice Management System, of the City’s Federally Qualified Health Centers, and licensing, support and maintenance for two new sites to include a Women’s Health Center and Bradley Court Clinic, of the City’s Federally Qualified Health Centers, for a period not to exceed one (1) year beginning January 2, 2016 through December 31, 2016, with an option to renew for an additional one (1) year term, subject to Municipal Council approval; and

 

WHEREAS, Greenway EHS, Inc., (the “Contractors”) has provided services to the DHCW and have demonstrated that they are qualified by training and experience; and

 

WHEREAS, the Interim Director of the DHCW desires to exercise the option to renew the contract with Greenway EHS, Inc., for the period of January 2, 2017 through December 31, 2017, in the amount not to exceed Four Hundred Eighty Thousand Dollars and Zero Cents ($480,000.00); and

 

WHEREAS, based upon the representation of the Interim Director of DHCW, the Municipal Council finds that the services were performed in an efficient and effective manner and the terms and conditions of the contract remaining the substantially the same, the Municipal Council believes it is in the best interest of the City to exercise the option to renew the contract for one year.

 

NOW, THEREFORE, BE IT RESOLVED BY THE MUNICIPAL COUNCIL OF THE CITY OF NEWARK, NEW JERSEY, THAT:

 

1.                     The Mayor and/or his designee, the Interim Director of the Department of Health and Community Wellness, is hereby authorized to exercise the option  to renew and execute an amendment with Greenway EHS, Inc., an Alabama Corporation, with its principal address of One Metroplex Drive, Suite 500, Birmingham, Alabama 35209, to renew the contract to provide support, maintenance and enhancement including dental services, for an existing licensed Practice Management System Electronic Medical Records System for an existing Comprehensive Practice Management System, of the City’s Federally Qualified Health Centers, and licensing, support and maintenance for two new sites to include a Women’s Health Center and Bradley Court Clinic, of the City’s Federally Qualified Health Centers, for a period not to exceed one (1) year beginning January 2, 2017 through December 31, 2017,  in an amount not to exceed Four Hundred Eighty Thousand Dollars and Zero Cents ($480,000.00).

 

2.                     This contract is being awarded pursuant to the Fair and Open procedures of the State Pay-to-Play Law (N.J.S.A. 19:44A-20.5) and as a competitive bidding contract pursuant to the provisions of Local Public Contracts Law N.J.S.A. 40A:11-4.1, which provides that a contract of this type itself must be available for public inspection.

 

3                     The contract is further awarded as an open-ended contract pursuant to N.J.A.C.5:30-5.5(b) (2). A Certification of Funds shall be executed each time services are used and charged against this contract.

 

4.                     There shall be no additional amendments or changes to this contract without prior Municipal Council approval.

 

5.                     A notice of this action shall be published in the newspaper authorized by law to publish a legal advertisement and as required by law within ten (10) days of its passage.

 

6.                     A copy of the amendment to the Contract is attached hereto.

 

7.                     A duly executed copy of the aforesaid amendment to the Contract shall be filed forthwith in the Office of the City Clerk by the Interim Director of the Department of Health and Community Wellness.

 

 

STATEMENT

 

This resolution ratifies and authorizes the Mayor and/or his designee, the Interim Director of the Department of Health and Community Wellness, to exercise its option to renew and execute a contract with Greenway EHS, Inc., One Metroplex Drive, Suite 500, Birmingham, Alabama 35209, for the continued support, maintenance and enhancement including dental services, for an existing licensed Practice Management System Electronic Medical Records System, for an existing Comprehensive Practice Management System, of the City’s Federally Qualified Health Centers, and licensing, support and maintenance for two new sites to include a Women’s Health Center and Bradley Court Clinic, of the City’s Federally Qualified Health Centers, for a period not to exceed one (1) year beginning January 2, 2017 through December 31, 2017, in the amount not to exceed Four Hundred Eighty Thousand Dollars and Zero Cents ($480,000.00).
