WHEREAS, as of July, 24, 2025, the Newark Housing Authority ("NHA") board has adopted a resolution allowing the City of Newark ("City") to utilize its parking lot located at 86-94 Arlington Street, Newark, New Jersey, 07102 (hereinafter, the "Site") for the Department of Health and Community Wellness; and

WHEREAS, for the use of the parking lot, the City has agreed to pay NHA Eight Thousand Eight Hundred and Fifty-five Dollars and Zero Cents ($8,855.00), as well as provide for the maintenance, upkeep and security at the Site, related to such use; and

WHEREAS, in an effort to formalize this agreement, the NHA and the City shall execute a Use and Occupancy Agreement; and

WHEREAS, the Insurance Fund Commission shall execute a Hold Harmless Agreement with the NHA.


NOW, THEREFORE, BE IT RESOLVED BY THE MUNICIPAL COUNCIL OF THE CITY OF NEWARK, NEW JERSEY:

1. As of July 24, 2025, the Newark Housing Authority ("NHA") board has adopted a resolution allowing the City of Newark ("City") use of its parking lot located at 86-94 Arlington Street ("Site") for the Department of Health and Community Wellness.

2. For use of the Site, the City has agreed to pay NHA Seven Hundred and Thirty-Eight Dollars per month ($738.00) maintain the lot and security at the Site, related to such use.

3. The Municipal Council shall authorize the City to execute a Use and Occupancy Agreement with the NHA outlining the aforementioned terms. The Use and Occupancy Agreement may be revoked by either party upon a one hundred and Eighty days (180) notice.

4. This authority is ratified from July 24, 2025, to the date of the adoption of this Resolution.

5. The Municipal Council shall also authorize the use of the Insurance Fund Commission of Newark to execute a Hold Harmless and Indemnification Agreement, indemnifying the NHA from any and all claims arising out of the City's use of the parking lot in connection with the aforementioned purpose.

6. Attached hereto is a Certification of Funds from the Director of Finance, which states that the required funds are available in the 2025 Official Budget line. 011-120-1201-71280-B2025. The balance of funds needed for 2026 shall be allocated in 2026.

7. A copy of the executed Use and Occupancy and Hold Harmless Agreements shall be filed in the Office of the City Clerk.

STATEMENT

This Resolution authorizes the City of Newark to execute a Use and Occupancy Agreement with the Newark Housing Authority for the use of the parking lot located at 86-94 Arlington Street, Newark, New Jersey 07102, commencing on July 24, 2025, for the amount of Eight Thousand Eight Hundred and Fifty-Five Dollar and Zero Cents ($8,855.00), until such consent is revoked by either party upon a one hundred and eighty (180) day notice. Additionally, the Insurance Fund Commission of Newark shall be authorized to execute a Hold Harmless and Indemnification Agreement indemnifying any and all claims arising out of the City of Newark's use of the parking lot during the term of the agreement.
