WHEREAS, the Governing Body of the City of Newark (the “City”), is desirous of holding the 2022 Inauguration/Organizational Meeting at the Prudential Hall Theatre, the Victoria Theater, the Parsonnet Room, Green Room and the Jacqua Lounge located in the New Jersey Performing Arts Center Corporation (the “NJPAC” or “Licensed Facility”), on Friday, July 1, 2022; and
WHEREAS, the New Jersey Performing Arts Center Corporation, a New Jersey not-for-profit corporation, having an office at One Center Street, Newark, New Jersey 07102 through negotiation, has offered to waive the License Facility Rental Fees for the use of the Prudential Hall Theatre, the Victoria Theater and the Parsonnet Room, a gift valued at Twenty-One Thousand Five Hundred Dollars and Zero Cents ($21,500.00), and expects nothing in return and will receive nothing in return for making this gift; and
WHEREAS, the ancillary service fees are currently estimated at Fifty-Three Thousand Five Hundred Dollars and Zero Cents ($53,500.00), but are subject to change depending upon related production fees which are based on the event needs on the day of the event; and
WHEREAS, the City must enter into a Short Term License Agreement, dated June 6, 2022, for the use of the Licensed Facility at the New Jersey Performing Arts Center Corporation for an estimated amount of Fifty-Three Thousand Five Hundred Dollars and Zero Cents ($53,500.00) representing ancillary service fees, which the City needs to pay to New Jersey Performing Arts Center Corporation; and
WHEREAS, the New Jersey Performing Arts Center Corporation does not charge for the use of the Green Room and the Jacqua Lounge; and
WHEREAS, the City of Newark wishes to accept this gift of Twenty-One Thousand Five Hundred Dollars and Zero Cents ($21,500.00), pursuant to N.J.S.A. 40A:5-29; and
WHEREAS, the Mayor of the City of Newark and the Municipal Council have indicated their support of the Inaugural/Organizational Event by approving the execution of the Short Term License Agreement and the acceptance of the gift described herein.
NOW, THEREFORE, BE IT RESOLVED BY THE MUNICIPAL COUNCIL OF THE CITY OF NEWARK, NEW JERSEY, THAT:
1. The City Clerk, on behalf of the City of Newark is authorized to enter into and execute the Short Term License Agreement, dated June 6, 2022, for the use of the Prudential Hall Theatre, the Victoria Theater, the Parsonnet Room, Green Room and the Jacqua Lounge (the “Licensed Facility”), for the 2022 Inauguration/Organizational Meeting to be held on Friday, July 1, 2022, for the estimated amount of Fifty-Three Thousand Five Hundred Dollars and Zero Cents ($53,500.00) in Ancillary Services Fees.
2. The City Clerk, on behalf of the City of Newark, is hereby authorized to accept the gift of the licensed facility rental fees waived for the use of Prudential Hall Theatre, Victoria Theater and the Parsonnet Room, a gift valued at Twenty-One Thousand Five Hundred Dollars and Zero Cents ($21,500.00).
3. The amount of the estimated Ancillary Service Fees under the Short Term License Agreement in the amount of Fifty-Three Thousand Five Hundred Dollars and Zero Cents ($53,500.00) is due on June 24, 2022.
4. No municipal funds will be expended for the acceptance of this gift.
5. Attached hereto is a Certification of Funds from the Director of the Department of Finance, which states: (1) that there are sufficient funds, in the amount of Fifty-Three Thousand Five Hundred Dollars and Zero Cents ($53,500.00) to cover the Ancillary Service Fees under the Short Term License Agreement as set forth hereinabove; and (2) that the line appropriation of the official budget which shall be charged is: Business Unit NW011, Department ID 020, Division/Project 0201, Activity #A, Account # 96120, Budget Reference # 2022.
6. The City Clerk shall maintain a copy of the Short Term License Agreement on file in the Office of the City Clerk.
7. There shall be no amendments to the contract, unless the amendments are in a writing, executed by both parties, and approved by the Municipal Council by Resolution.
STATEMENT
This Resolution authorizes the City Clerk and/or his designee, on behalf of the City of Newark to enter into and execute a Short Term License Agreement, with the New Jersey Performing Arts Center Corporation, of One Center Street, Newark, New Jersey 07102, for the use of the Prudential Hall Theatre, the Victoria Theater, the Parsonnet Room, Green Room and the Jacqua Lounge for the 2022 Inauguration/Organizational Meeting to be held on Friday, July 1, 2022, for the estimated amount of $53,500.00 in Ancillary Services Fees. This Resolution further authorizes the City Clerk, on behalf of the City of Newark, to accept the gift of the licensed facility rental fees waived for the use of the Prudential Hall Theater, the Victoria Theater and the Parsonnet Room, a gift valued at $21,500.00. The New Jersey Performing Arts Center Corporation expects nothing in return and will receive nothing in return for making this gift. No municipal funds will be expended for the acceptance of this gift.
