This contract will provide for an open-ended authorization to enter into contracts with seven (7) State-Approved vendors for the purchase of vehicles for various City Departments for the calendar year 2023.

WHEREAS, the City of Newark (hereinafter the “City”), pursuant to N.J.S.A. 40A:11-12a and N.J.A.C. 5:34-7.29(c) may, without advertising for bids, purchase any goods, services, equipment, and vehicles under the State of New Jersey Cooperative Purchasing Program from any State contracts entered into on behalf of the State of New Jersey by the Department of Treasury, Division of Purchase and Property; and
WHEREAS, due to the volatility of the automotive market, ongoing supply chain issues and shortage of vehicles, an open-end contract award is necessary for economy and efficiency to respond to the highly competitive market to authorize the purchase of vehicles to supplement and/or replace the City’s vehicles without delay when the need arise; and
WHEREAS, the City has the need, on a timely basis, to purchase automotive vehicles utilizing State contracts, for various City Departments for the calendar year 2023; and
WHEREAS, the City wishes to enter into an open-ended agreement with the following seven (7) referenced State Contract vendors: (1) Nielsen of Morristown Inc., 172 Ridgedale Ave, Morristown, New Jersey 07960; (2) Gentilini Chevrolet LLC, 500 John S Penn Blvd, Woodbine, New Jersey 08270; (3) Hertrich Fleet Services Inc., 1427 Bay Road, Milford, Delaware 19963; (4) Chas S. Winner Inc., 250 Haddonfield-Berlin Rd, Cherry Hill, New Jersey 08034; (5) Hudson Motors Partnership, 585 Route 440, Jersey City, New Jersey 07305 (6) Mall Chevrolet, 75 Haddonfield Rd, Cherry Hill, New Jersey 08002; and (7) Route 23 Auto Mall LLC, 1301 Route 23, Butler, New Jersey 07405 through the issuance of executed purchase orders, which agreements shall be subject to all the terms and conditions applicable to the current State contracts, in order to replace the City’s vehicles without delay when the need arise.
NOW, THEREFORE, BE IT RESOLVED BY THE MUNICIPAL COUNCIL OF THE CITY OF NEWARK, NEW JERSEY, THAT:
1. The Mayor and/or his designees, the Business Administrator and/or the Qualified Purchasing Agent, are authorized to purchase automotive vehicles from the following seven (7) approved New Jersey State Contract Vendors: (1) Nielsen of Morristown Inc., 172 Ridgedale Ave, Morristown, New Jersey 07960; (2) Gentilini Chevrolet LLC, 500 John S Penn Blvd, Woodbine, New Jersey 08270; (3) Hertrich Fleet Services Inc., 1427 Bay Road, Milford, Delaware 19963; (4) Chas S. Winner Inc., 250 Haddonfield-Berlin Rd, Cherry Hill, New Jersey 08034; (5) Hudson Motors Partnership, 585 Route 440, Jersey City, New Jersey 07305; (6) Mall Chevrolet, 75 Haddonfield Rd, Cherry Hill, New Jersey 08002; and (7) Route 23 Auto Mall LLC, 1301 Route 23, Butler, New Jersey 07405 , pursuant to all terms and conditions of the individual State contracts, in order to replace the City’s vehicles without delay, when the need arise.
2. All Purchase Orders and other related documentation shall be in accordance with the relevant State Contract, New Jersey Standard Terms and Conditions, Method of Operation and Third Party Agreement, if applicable, as contained in the State Contract documentations and agreements.
3. There shall be no amendments of this Resolution without the approval of the Municipal Council.
4. There shall be no advance payment on the State Contracts in accordance with N.J.S.A. 40A:5-16.
5. Pursuant to N.J.A.C. 5:30-5.5(b), no contract amount shall be chargeable or certified until such time as the goods or services are ordered and acknowledged with a certified Purchase Order or a certification of availability of funds is made by the Chief Finance Officer.
6. This authorization shall expire December 31, 2023, or upon the expiration of the respective state contracts, inclusive of any extensions granted by the State of New Jersey, whichever occurs earlier.
STATEMENT
This Resolution authorizes the Mayor of the City of Newark and/or his designees, the Business Administrator and/or the Qualified Purchasing Agent, to purchase automotive vehicles from seven (7) New Jersey approved State Contract vendors for the period commencing upon approval of this Resolution by the Municipal Council through December 31, 2023, or upon the expiration of the respective state contracts, inclusive of any extensions granted by the State of New Jersey, whichever occurs earlier.
