WHEREAS, the Local Redevelopment and Housing Law, N.J.S.A. 40A:12A-1 et seq., as amended and supplemented (the "LRHL" or "Act") authorizes municipalities to participate in the redevelopment and improvement of areas that are in need of redevelopment or rehabilitation; and
WHEREAS, in order to stimulate the reinvigoration of the City, by Resolution 7RDO (A.S.), adopted on June 15, 2005, the entire City of Newark (the "City") was designated as an area in need of rehabilitation pursuant to the Act; and
WHEREAS, the Municipal Council of the City of Newark (the "Municipal Council") then approved the following redevelopment plans, as amended, for the five (5) Wards within the City (collectively, the "Redevelopment Plans;"):
- Ordinance 6S&FA(s) 081705 Third Amendment to the North Ward Redevelopment Plan;
- Ordinance 6S&FE 092105 First Amendment to the East Ward Redevelopment Plan;
- Ordinance 6S&FC(s) 081705 Second Amendment to the West Ward Redevelopment Plan;
- Ordinance 6S&FD(s) 081705 Third Amendment to the South Ward Redevelopment Plan;
- Ordinance 6S&FE(s) 081715 First Amendment to the Central Ward Redevelopment Plan; and
WHEREAS, the City identified certain vacant City-owned lots, listed on Exhibit A attached hereto (collectively, the "Lots"), which the City has determined that (i) are no longer needed for public use and (ii) the redevelopment thereof in accordance with the applicable provisions of the respective Redevelopment Plan will contribute to the rehabilitation and reinvigoration of the City and to the social and economic improvement of the City in accordance with the legislative intent, goals and objectives of the LRHL; and
WHEREAS, the LRHL authorizes municipalities to convey real property for purposes of implementing projects consistent with approved redevelopment plans without public bidding and at such prices and upon such terms as it deems reasonable pursuant to N.J.S.A. 40A:12A-8(g); and
WHEREAS, on February 14, 2015 the City of Newark conducted a Valentine's Day Land Sale to transform the Lots into opportunities for home ownership by selling them, for the price of $1,000.00 each, subject to certain standard conditions, on a "first-come, first served" basis to couples (i.e. two (2) individuals), as identified on the List of Valentine's Day Sale Respondents attached hereto as Exhibit A (the "Redevelopers"), who wish to build an owner-occupied home consisting of one (1), two (2) or three (3) residential units, with or without additional retail use (the "Project"), consistent with the goals of the respective Redevelopment Plan; and
WHEREAS, the Redevelopers have each paid a good faith deposit to the City in the amount of $500.00 per Lot (the "Deposit(s)"); and
WHEREAS, the City wishes to accept the offers to purchase the Lots as set forth on Exhibit A, attached hereto and made a part hereof.
NOW, THEREFORE, BE IT RESOLVED BY THE MUNICIPAL COUNCIL OF THE CITY OF NEWARK, NEW JERSEY, THAT:
1. The City of Newark hereby accepts each offer by each of the Redevelopers to purchase the corresponding Lots, as set forth on Exhibit A for $1,000.00 per Lot, pursuant to Local Redevelopment and Housing Law, N.J.S.A. 40A:12A-1 et seq., as amended and supplemented, and N.J.S.A. 40A:12A-8(g).
2. The Mayor and/or the Deputy Mayor/Director of the Department of Economic and Housing Development are hereby authorized to enter into and execute a separate Redevelopment Agreement for the City of Newark Valentine's Day Land Sale, in the form attached hereto as Exhibit B (the "Redevelopment Agreement(s)"), with each of the Redevelopers for the redevelopment of the corresponding Lots and construction of an approved Project, as set forth on Exhibit A, with the form of Redevelopment Agreement requiring: the construction of the Projects upon the Lots be commenced within three (3) months of each closing of the sale of the Lot(s) to the respective Redevelopers ("Closing"); the Redevelopers to diligently pursue completion of the Projects; and that the Redevelopers apply for Certificates of Occupancy for the respective Projects within eighteen (18) months of the respective Closings.
3. The Deputy Mayor/Director of the Department of Economic and Housing Development or such authorized designee(s) is hereby authorized to enter into and execute access and right-of-entry agreements as may be necessary and appropriate to effectuate the Redevelopment Agreements, in forms approved by the City's Corporation Counsel.
4. The Lots shall be sold to the corresponding Redevelopers as set forth on Exhibit A, by private sale, for the purpose of redevelopment requiring construction of a one (1), two (2) or three (3) unit owner-occupied residential structure, with or without additional retail use, subject to the applicable Redevelopment Plan, the terms and conditions of the Redevelopment Agreement, and all applicable laws, rules and regulations, including the Newark Zoning and Land Use Ordinance.
5. The conveyances of the Lots by the City to the respective Redevelopers shall be by Quitclaim Deed in the form attached hereto as Exhibit C (the "Quitclaim Deed(s)") which shall contain: resale and/or use restrictions for a minimum period of five (5) years from the date of issuance of the Certificate of Occupancy for each respective Project; and a Right of Reverter whereby the City may elect to seek reverter of title to the Lot(s) back to the City in the event that the respective Redevelopers fail to comply with certain material terms and conditions of the Redevelopment Agreement.
6. The Deputy Mayor/Director of the Department of Economic and Housing Development is hereby authorized to execute the respective Quitclaim Deeds, in substantially the form attached hereto, and such other documents necessary and appropriate to convey title in the Lots to the corresponding Redevelopers as set forth on Exhibit A, all in forms approved by the City's Corporation Counsel. Any executed Quitclaim Deed shall be attested to by the City Clerk.
7. Any other legislation authorizing or intended to authorize the sale of any Lot listed on Exhibit A is hereby rescinded.
8. From the effective date of this Resolution, the Redevelopers shall have a reasonable period of time within which to: execute a Redevelopment Agreement in the form attached hereto; return a fully executed Redevelopment Agreement to the Department of Economic and Housing Development; effectuate the sale of the respective Lot(s) by diligently pursuing and obtaining all required information and documentation in order to proceed to Closing; and participate in a Closing to be scheduled by the City for the transfer of title to the respective Lot(s) by Quitclaim Deed. Should any of the Redevelopers set forth on Exhibit A fail to so comply, the authorization provided by this resolution shall be null and void only as to those Redevelopers which fail to comply, unless the Deputy Mayor/Director of the Department of Economic and Housing Development agrees in writing to accommodate an alternative timeframe and said agreement is thereafter filed with the City Clerk by the Deputy Mayor/Director of the Department of Economic and Housing Development.
9. A copy of the fully executed Quitclaim Deeds and Redevelopment Agreements, each as attested by the City Clerk, shall be placed on file in the Office of the City Clerk by the Deputy Mayor/Director of the Department of Economic and Housing Development.
10. The form of Redevelopment Agreement and the form of Quitclaim Deed conveying title to the Lots shall be approved as to form and legality by the City's Corporation Counsel.
STATEMENT
This resolution authorizes the sale of the Lots by the City to the corresponding Redevelopers as set forth on Exhibit A; the Mayor and the Deputy Mayor/Director of the Department of Economic and Housing Development is authorized to enter into, execute and effectuate a Redevelopment Agreement, in the form attached hereto as Exhibit B, for each of the Lots as set forth on Exhibit A; and the Deputy Mayor/Director of the Department of Economic and Housing Development is authorized to execute a Quitclaim Deed, in substantially the form attached hereto as Exhibit C, and such other documents as may be necessary and appropriate to convey title of the Lots as set forth on Exhibit A.
