WHEREAS, the City of Newark, Department of Health and Community Wellness is in need of assistance, guidance, expertise, and leadership regarding compliance with local, state and federal laws and regulations governing the administration of public health and safety for the City of Newark and to recruit a management team of public healthcare professionals; and
WHEREAS, Mayor Ras J. Baraka has requested Rutgers, the State University of New Jersey through its unincorporated constituent unit, Rutgers Biomedical and Health Sciences (“RBHS”), an instrumentality of the State, with its principal place of business at 83 Somerset Street, New Brunswick, New Jersey 08901, provide said services; and
WHEREAS, the Mayor desires to enter into a Memorandum of Understanding (“MOU”), with Rutgers, on behalf of RBHS which is comprised of New Jersey’s largest and most influential constellation of academic institutions devoted to medicine, dentistry, advanced health-related sciences, behavioral health, pharmacy, public health, nursing, and the full spectrum of allied health careers, and which can provide the required services to the City; and
WHEREAS, RBHS has agreed to provide these services and, as more fully set forth in the MOU, without any cost to the City for six months commencing upon adoption of this resolution by the Municipal Council; and
WHEREAS, this MOU is entered into pursuant to Local Public Contracts Law N.J.S.A. 40A:11-5(2) as an exception to public bidding as the MOU is being entered into with Rutgers, the State University of New Jersey, an instrumentality of the State of New Jersey and pursuant to N.J.S.A. 40A:5-29 as a gift to the City of Newark; and
WHEREAS, the Mayor believes it is in the best interests of the City of Newark to accept these pro bono services.
NOW, THEREFORE, BE IT RESOLVED BY THE MUNICIPAL COUNCIL OF THE CITY OF NEWARK, NEW JERSEY, THAT:
1. Pursuant to Law N.J.S.A. 40A:11-5(2) and N.J.S.A. 40A:5-29, the Mayor on behalf of the City of Newark, is authorized to accept advisory and consulting services from Rutgers, the State University of New Jersey through its unincorporated constituent unit, Rutgers Biomedical and Health Sciences (“RBHS”), an instrumentality of the State, with its principal place of business at 83 Somerset Street, New Brunswick, New Jersey 08901, for the purpose of providing, services, including but not limited to: administrative and consultancy services; provide advice designed to improve efficiencies and operations and recommend “best practices” related to administrative, management and operational procedures of the Director’s Office and DHCW’s five (5) divisions (Environmental Health, Health Planning, Medical Care Services, Social Services, and Surveillance and Prevention; advice and assistance concerning the DHCW’s budgetary practices, grant management and opportunities, supervision of purchasing systems, collaboration with the City’s Federally Qualified Health Care Centers; recruitment of a management team of public healthcare professionals; and other assistance, advice, and support, as needed and appropriate.
2. The Mayor and/or his designee, the Business Administrator, are authorized to enter into and execute a Memorandum of Understanding for a six month period commencing upon adoption of this resolution by the Municipal Council.
3. A copy of the executed Memorandum of Understanding shall be filed in the Office of the City Clerk by the Office of the Mayor.
4. No municipal funds will be expended in connection with this gift. No consideration in any form will be provided to the State University of New Jersey through its unincorporated constituent unit, Rutgers Biomedical and Health Sciences, nor any of its affiliated and related entities in exchange for this gift.
STATEMENT
This resolution authorizes the Mayor and/or his designee, the Business Administrator, to enter into a Memorandum of Understanding with Rutgers, the State University of New Jersey through its unincorporated constituent unit, Rutgers Biomedical and Health Sciences (“RBHS”), an instrumentality of the State, with its principal place of business at 83 Somerset Street, New Brunswick, New Jersey 08901, to provide Administrative and Consultancy Services to the City of Newark for its Department of Health and Community Wellness for a six month period commencing upon adoption by the Municipal Council, at no cost to the City.
