WHEREAS, the City of Newark Department of Child and Family Well-Being wishes to provide support, maintenance and upgrades of existing Oracle/PracticeManagement/Electronic Medical Record System consistent with N.J.S.A. 40A:11-5(1)(dd) et seq., and City of Newark Executive Order on Pay-to Play Reform, MEO-07-0001; and
WHEREAS, on December 20, 2012, the Department of Child and Family Well-Being consistent with N.J.S.A.19:44A-20.5, advertised a Request for Qualifications, a copy of which is attached, under the Fair and Open Process. The Request for Qualifications return date was January 10, 2013; and
WHEREAS, the contract is awarded pursuant to the Fair and Open Process N.J.S.A.19:44A-20.5, pursuant to Local Public Contracts Law N.J.S.A.40A:11-1 et seq., and is in compliance with Executive Order MEO-07-0001, effective March 1, 2007; and
WHEREAS, on January 10, 2013, the Department of Child and Family Well-Being received one (1) Response to the Request for Qualification, which was opened on January 10, 2013 and entered on the bid tabulation sheet, a copy of which is attached; and
WHEREAS, Success-EHS, Inc., (the "Contractor"), an Alabama Corporation, with its principal address of One Metroplex Drive, Suite 500, Birmingham, Alabama 35209, the only proposal received, has represented that they are qualified by training and experience to provide the required services in the manner and the terms and conditions set forth in the proposed contract; and
WHEREAS, the qualifications received from Success-EHS, Inc., was most advantageous to the City of Newark based on experience and on criteria as listed on the Request for Qualification; and
WHEREAS, this contract shall be awarded as an open-ended contract and shall not exceed $144,000.00 for the maintenance, support, enhancements and upgrades for its existing Comprehensive Practice Management System, of the City's Federally Qualified Health Centers, for a period not to exceed one (1) year beginning April 1, 2013 through March 31, 2014, with an option to extend or renew for an additional one (1) year term, subject to Municipal Council approval.
NOW, THEREFORE, BE IT RESOLVED BY THE MUNICIPAL COUNCIL OF THE CITY OF NEWARK, NEW JERSEY, THAT:
1. The Mayor and/or his designee, the Director of the Department of Child and Family Well-Being, are hereby authorized to enter into and execute a contract with Success-EHS, Inc., an Alabama Corporation, with its principal address of One Metroplex Drive, Suite 500, Birmingham, Alabama 35209, this contract shall not exceed $144,000.00 , for the maintenance, support, enhancement and upgrades of licensed oracle, practice management electronic medical record system of the City's Federally Qualified Health Centers for a period not to exceed one (1) year beginning April 1, 2013 through March 31, 2014, with an option to extend or renew for an additional one (1) year term.
2. The Contract is ratified from April 1, 2013 to the date of adoption.
3. This contract is awarded pursuant to the Fair and Open N.J.S.A. 19:44A-20.5 and as a competitive bidding contract pursuant to the provisions of Local Public Contracts Law N.J.S.A. 40A:11-4.1, which provides that a contract of this type must be available for public inspection.
4. The contract is in compliance with Newark Executive Order MEO-07-0001, effective March 1, 2007.
5. The contract is further awarded as an open-ended contract pursuant to N.J.A.C.5:30-5.5(b) (2). A Certification of Funds shall be executed each time services are used and charged against this contract.
6. There shall be no amendments or changes to this contract without Municipal Council approval.
7. A notice of this action shall be published in the newspaper authorized by law to publish a legal advertisement and as required by law within ten (10) days of its passage.
8. A copy of the proposed contract is attached hereto.
9. A duly executed copy of the contract shall be filed with the Office of the City Clerk by the Director of the Department of Child and Family Well-Being.

This resolution ratifies and authorizes the Mayor and/or his designee, the Director of the Department of Child and Family Well-Being, to enter into and execute a contract with Success-EHS, Inc., One Metroplex Drive, Suite 500, Birmingham, Alabama 35209, to provide maintenance, support enhancements and upgrades for existing licensed oracle, practice management electronic medical record system of the City's Federally Qualified Health Centers, in an amount not to exceed $144,000.00 The contract is for a period not to exceed one (1) year beginning April 1, 2013 through March 31, 2014, with an option to extend or renew for additional one (1) year term.
