Original Resolution 7R1-k(as) adopted on November 8, 2018 in the contract amount of $197,600.00.

The First Amendment will increase the contract amount by $85,000.00, for a total new contract amount not to exceed $282,600.00.

WHEREAS, the City of Newark created and maintains a government access television studio to broadcast programming that deals with public affairs, board meetings (i.e. city council), explanation of government services, and other public-service related programming such as public service announcements and longer public information films; and

 

WHEREAS, as authorized by Resolution 7R1-a  adopted October 5, 2016, the Director of Communications entered into a contract with Edward Joseph Cologna Productions, Inc., for one year commencing October 5, 2016, with two one year options to renew; and

 

WHEREAS, as authorized by Resolution 7R1-c (as), the Director of Communications renewed the contract for year two commencing on October 6, 2017, terminating on October 7, 2018, for an amount not to exceed $193,856.00 with one year remaining to renew; and

 

WHEREAS, as authorized by Resolution 7R1- a (s), adopted on August 22, 2018, the Director of Communications increased the contract amount for year two by $85,000.00, bringing the total contract for an amount not to exceed $282,600.00; and

 

WHEREAS, as authorized by Resolution 7R1-k(as) adopted on November 8, 2018, the Director of Communications renewed the contract for year 3 commencing on October 7, 2018 and terminating on October 6, 2019 for an amount not to exceed $197,600.00; and

 

WHEREAS, Edward Joseph Cologna Productions, Inc., with address at 119 Aycrigg Ave, Passaic New Jersey 07055 has demonstrated a proven track record with managing the Municipal Television Studio, experience, knowledge of the equipment and demonstrated responsibility for developing and implementing a new NWKTV with the City’s intent to improve the quality of life programming and additional programming to capture the Administration and the Mayor’s vision of a transparent government; and

 

WHEREAS, Edward Joseph Cologna Productions, Inc., is compliant with the training and experience in the field of municipal and government access television working in partnership with local municipalities and communities to meet their needs and objectives. Moreover, Newark TV has secured three (3) awards from the Jersey Access Group (JAG) the State of New Jersey’s largest public access organization; and,

 

WHEREAS, Section IV of the Request for Proposal (RFP) which terms are incorporated into the contract states, “Should additional services be required, the contract shall be amended with the approval of the Municipal Council.”   Additionally, the RFP and contract instruct that “When the amount incurred by the Vendor reaches seventy-five percent (75%) of the authorized amount, the Vendor shall notify the City or designee to the effect in writing. The parties shall review the status of the services and determine the appropriate course of action to either increase the amounts available…”; and

           

WHEREAS, Newark is experiencing a cultural and economic boom which has led to an increase in public events and government activity. These events require coverage by the Newark TV team to ensure residents have access and information to the programs and projects taking place in their communities. The increase has resulted in an increase in the hours used under the contract; and

 

WHEREAS, on or around June 14, 2019, the total amount of the contract has been expended, the parties have met and desire to increase the contract amount by $85,000.00 for a total contract amount not to exceed $282,600.00, to cover expenses related to staffing, equipment repair, replacement, other related costs, increased hours and the overall costs of the operation and management services of the City of Newark’s Municipal Television Studio.

 

NOW, THEREFORE, BE IT RESOLVED BY THE MUNICIPAL COUNCIL OF THE CITY OF NEWARK, NEW JERSEY, THAT:

 

1.                     The Mayor, and/or his designee, the Business Administrator and/or the Director of Communications, are authorized to amend the contract by increasing the contract amount of Edward Joseph Cologna Productions, Inc., 119 Aycrigg Avenue, Passaic, New Jersey 07055 in the amount not to exceed $85,000.00 (Eighty-Five Thousand Dollars and Zero Cents) for a total contract amount not to exceed $282,600.00 for the operation and management services of the City of Newark’s Municipal Television Studio.

 

2.                     The amendment to the contract is ratified from on or about June 14, 2019, to the date of adoption of this authorizing resolution.

 

3.                     Pursuant to N.J.A.C. 5:30-5.5(a), Temporary Budget, attached hereto is the Chief Finance Officer’s Certification, which states partial funds in the amount of $50,000.00 are available in the 2019 Temporary Budget, Fund Business Unit NW011, Department 200, Division/Project 2001, Account # 96770, Budget Ref. B2019, the balance to be provided in the 2019 Adopted Budget. The Certification shall be filed, along with the original resolution and the executed contract in the Office of the City Clerk.

 

4.                     All other terms and conditions of the contract remain the same.

 

5.                     A copy of the executed amendment shall be filed in the Office of the City Clerk by the Director of Communications.

 

 

STATEMENT

 

This resolution ratifies and authorizes the Mayor, and/or his designee, the Business Administrator and/or the Director of Communications, to amend the contract by increasing the amount of the contract with Edward Joseph Cologna Productions, Inc., by $85,000.00 (Eighty-Five Thousand Dollars and Zero Cents) for the operation and management services of the City of Newark’s Municipal Television Studio, for a total contract amount not to exceed $282,600.00.
