This resolution also accepts a gift of the License Facility Rental Fees, a gift valued at $21,500.00.

WHEREAS, the Governing Body of the City of Newark (the “City”), is desirous of holding the 2018 Inauguration/Organization Meeting at the Prudential Hall Theatre, the Victoria Theater, the Parsonnet Room, Green Room and the Jacqua Lounge located in the New Jersey Performing Arts Center Corporation (the “Licensed Facility”), on Sunday, July 1, 2018; and
WHEREAS, the City must enter into a Short Term License Agreement, dated June 4, 2018, for the use of the Licensed Facility at the New Jersey Performing Arts Center for an estimated amount of $49,500.00, (Forty-Nine Thousand Five Hundred Dollars and Zero Cents) representing ancillary service fees, which the City needs to pay to New Jersey Performing Arts Center; and
WHEREAS, the New Jersey Performing Arts Center Corporation, a New Jersey not-for-profit corporation, having an office at One Center Street, Newark, New Jersey 07102 (“NJPAC”) through negotiation, has offered to waive the Licensed Facility Rental Fees for the use of the Prudential Hall Theatre, the Victoria Theater and the Parsonnet Room, a gift valued at $21,500.00, and expects nothing in return and will receive nothing in return for making this gift; and
WHEREAS, the New Jersey Performing Arts Center Corporation does not charge for the use of the Green Room and the Jacqua Lounge; and
WHEREAS, the City of Newark wishes to accept this gift pursuant to N.J.S.A. 40A:5-29; and
WHEREAS, the Mayor and the Newark Municipal Council have indicated their support of the Inaugural/Organization event by approving the execution of the Short Term License Agreement and the acceptance of the gift described herein.
NOW, THEREFORE, BE IT RESOLVED BY THE MUNICIPAL COUNCIL OF THE CITY OF NEWARK, NEW JERSEY, THAT:
1. The City Clerk, on behalf of the City of Newark is authorized to execute the Short Term License Agreement, dated June 4, 2018, for the use of the Prudential Hall Theatre, the Victoria Theater, the Parsonnet Room, Green Room and the Jacqua Lounge (the “Licensed Facility”), for the 2018 Inauguration/Organization Meeting to be held on Sunday, July 1, 2018, for the estimated amount of $49,500.00 in Ancillary Services Fees.
2. The City Clerk, on behalf of the City of Newark, is hereby authorized to accept the gift of the licensed facility rental fees waived for the use of Prudential Hall Theatre, Victoria Theater and the Parsonnet Room, a gift valued at $21,500.00.
3. The amount of the estimated Ancillary Service Fees under the Short Term License Agreement in the amount of $49,500.00 are due on June 25, 2018.
4. The Short Term License Agreement is hereby ratified from June 4, 2018 until the date of adoption of this authorizing resolution.
5. Attached hereto is a Certification of Funds from the Director of Finance, which states (1) that there are sufficient funds, in the amount of $49,500.00 to cover the Ancillary Service Fees under the Short Term License Agreement as set forth hereinabove and (2) that the line appropriation of the official budget which shall be charged is Business Unit NW011, Department ID 020, Division/Project 0201, Activity #A, Account # 96120 Budget Reference # 2018.
6. The City Clerk shall maintain a copy of the Short Term License Agreement on file in the Office of the City Clerk.
STATEMENT
This resolution ratifies and authorizes the City Clerk and/or his designee, to execute the Short Term License Agreement, dated June 4, 2018, with the New Jersey Performing Arts Center Corporation, One Center Street, Newark, New Jersey 07102, for the use of the Prudential Hall Theatre, the Victoria Theater, the Parsonnet Room, Green Room and the Jacqua Lounge (the “Licensed Facility”) for the 2018 Inauguration/Organization Meeting to be held on Sunday, July 1, 2018, for the estimated amount of $49,500.00 in Ancillary Services Fees. This resolution further authorizes the City Clerk, on behalf of the City of Newark, to accept the gift of the licensed facility rental fees waived for the use of the Prudential Hall Theater, the Victoria Theater and the Parsonnet Room. The Ancillary Services fees are for the estimated amount of $49,500.00, and the value of the gift of the use of the Prudential Hall Theater, the Victoria Theater, and the Parsonnet Room is valued at $21,500.00.
