This Resolution authorizes the acceptance of the Donation of EPIC and Related EMR Software and Services from Newark Beth Israel Health Center to enable more of Newark’s residents and surrounding areas to receive coordinated and quality health care services.
This Donation is in partnership with RWJBH Corporate Services, 95 Old Short Hills Road, West Orange, New Jersey 07052, which will assist in the maintenance the electronic medical record (“EMR”) and EPIC systems.

WHEREAS, the City of Newark’s (the “City”), Department of Health and Community Wellness (“DHCW”) is a Local Health Department and is co-affiliated with a Federally Qualified Health Center, Mary Eliza Mahoney Health center; and
WHEREAS, Newark Beth Israel Health Center, 201 Lyons Avenue Newark, New Jersey 07112 (hereinafter “Beth Israel”) , is a non-profit health organization organized under the laws of the State of New Jersey and which operates a licensed acute care facility providing inpatient, outpatient and emergency services in Newark; and
WHEREAS, the City and Beth Israel have identified that there is a need for expanded access to comprehensive high-quality outpatient services, including specialty services, for the residents of their shared service area, particularly among City’s target population of low income and medically underserved individuals; and
WHEREAS, Beth Israel desires to gift the City of Newark, with an in-kind donation consisting of the implementation of the EPIC Electronic Medical Record (“EMR”) system, including access to the donor’s EPIC EHR platform through the initial grant of sublicenses and all related hardware, third-party software, technical support, services, and other resources necessary to implement, operationalize, and utilize the EPIC EHR system to in order to expand the availability of healthcare services and enhance continuity of care for residents of Newark and surrounding areas; and
WHEREAS, the estimated value of the In-Kind Donation is Two Million Seven Hundred Forty-Nine Thousand Five Hundred Thirty-Nine Dollars and Zero Cents ($2,749,539.00); and
WHEREAS, Beth Israel’s implementation of the EPIC and Related EMR Software and Service donation will be phase one (1) of the two (2) phase process to implement and maintain the EPIC and EMR Software; and
WHEREAS, the City has articulated its reasonable expectations that this Agreement will contribute meaningfully to City’s ability to implement or increase the availability, or enhance the quality, of services provided to medically underserved population served by City and has acknowledged that this Agreement directly relates to services provided within the approved scope of Recipient’s federal grant under Section 330 of the Public Health Service Act; and
WHEREAS, Beth Israel fully understands and agrees it is not entitled to receive any direct benefit from the City of Newark, Mayor Ras. J Baraka or any other personnel affiliated with the City in exchange for its Gift; and
WHEREAS, pursuant to Local Public Contracts Law, N.J.S.A. 40A:5-29, a local unit is authorized and empowered to accept bequests, legacies and gifts made to it and is empowered to utilize such bequests, legacies and gifts in the manner set forth in the conditions of the bequest, legacy or gift provided, however, that such bequest, legacy, or gift shall not be put to any use which is inconsistent with the laws of the State of New Jersey and the United States of America.
WHEREAS, pursuant to N.J.S.A. 40A: 5-29, the Director of the Department of Health and Community Wellness desires to accept the Gift and acknowledge the same.
NOW, THEREFORE, BE IT RESOLVED BY THE MUNICIPAL COUNCIL OF THE CITY OF NEWARK, NEW JERSEY, THAT:
1. The Mayor of the City of Newark and/or the Director of the Department of Health and Community Wellness are authorized to accept the gift of the implementation of the EPIC and related electronic medical record (EMR) Software Services from Newark Beth Israel Health Center, 201 Lyons Avenue Newark, New Jersey 07112 (Beth Israel), with an estimated value of approximately Two Million Seven Hundred Forty-Nine Thousand Five Hundred Thirty-Nine Dollars And Zero Cents ($2,749,539.00) to maintain or increase the availability of high quality and coordinated services provided to the medically underserved population served in the City and surrounding areas.
2. The acceptance of this gift is hereby ratified from May 1, 2026 to date of adoption of this authorizing Resolution.
3. The City acknowledges the generous donation of the implementation of the EPIC EMR software and related services through this Resolution.
4. The Director of Health and Community Wellness shall file a copy of the Donation Agreement and the Epic EMR System Access and Services Agreement in the Office of the City Clerk.
5. No municipal funds will be expended for the acceptance of this gift.
STATEMENT
This Resolution ratifies and authorizes Mayor and/or the Director of the Department of Health and Community Wellness, on behalf of the City of Newark, to accept the Gift of the implementation of the EPIC/EMR system from Newark Beth Israel Health Center, 201 Lyons Avenue, Newark, New Jersey 07112, with an estimated value of $2,749,539.00 to maintain or increase the availability of high quality and coordinated services provided to the medically underserved population served in the City and surrounding areas. No municipal funds will be expended for the acceptance of this Gift.
