Additional Information: 

Resolution 7R1-c, adopted on October 4, 2023, authorized the use of State Contract #T2458 with PKF O'Connor Davies, LLP for accounting and advisory services. The Resolution inadvertently stated that the contract amount was not to exceed $150,000.00 for the entire contract period. The intended authorization was for an amount not to exceed $150,000.00 per year. This amendment corrects that clerical error. All other terms and conditions of Resolution 7R1-c shall remain unchanged.

WHEREAS, on October 4, 2023, the Municipal Council adopted Resolution 7R1-c authorizing the Purchasing Agent to utilize State Contract #T2458 Auditing Services with PKF O'Connor Davies, LLP, 20 Commerce Drive, Suite 301, Cranford, New Jersey 07016, under Contract #23-PROS1-50129, to provide accounting and advisory services for the Department of Finance; and

 

WHEREAS, Resolution 7R1-c authorized the contract through August 31, 2026, inclusive of any extensions by the State; and

 

WHEREAS, the Resolution inadvertently stated that the contract amount was not to exceed One Hundred Fifty Thousand Dollars and Zero Cents ($150,000.00) for the total contract period; and

 

WHEREAS, the intended authorization was for an amount not to exceed One Hundred Fifty Thousand Dollars and Zero Cents ($150,000.00) per year during the contract term; and

 

WHEREAS, the amendment is necessary solely to correct the authorized contract amount and accurately reflect the City's original intent, and all other provisions of Resolution 7R1-c remain unchanged.

 

NOW, THEREFORE, BE IT RESOLVED BY THE MUNICIPAL COUNCIL OF THE CITY OF NEWARK, NEW JERSEY, THAT:

 

1.                     Resolution 7R1-c, adopted by the Municipal Council on October 4, 2023, is hereby amended to revise the authorized contract amount for State Contract #T2458 with PKF O'Connor Davies, LLP from "not to exceed $150,000.00" to "not to exceed $150,000.00 per year" for the duration of the contract through August 31, 2026, inclusive of any extensions by the State.

 

2.                     Specifically, the final paragraph of the fifth "WHEREAS" clause shall be amended to read as follows: usage of this contract will provide accounting and advisory services for the City's Department of Finance at a cost not to exceed One Hundred Fifty Thousand Dollars and Zero Cents ($150,000.00) per year.

 

3.                     Paragraph 5 of the Resolution is amended to read as follows:

"This is an open-ended contract to be used as needed during the term of the contract. Thus, for any and all expenditures against this contract, a certification of the availability of sufficient funds, as required by N.J.A.C. 5:30-5.5(b)(2), shall be executed before a contractual liability is incurred each time an order is placed from the appropriate funding source. The annual expenditures under this contract shall not exceed One Hundred Fifty Thousand Dollars and Zero Cents ($150,000.00) per year, subject to the availability and certification of funds.

 

4.                     The Statement accompanying Resolution 7R1-c is amended by replacing the phrase "at a cost not to exceed $150,000.00" with "at a cost not to exceed $150,000.00 per year.”

 

5.                     Except as expressly amended herein, all other terms, conditions, authorizations, and provisions of Resolution 7R1-c adopted on October 4, 2023, shall remain in full force and effect.

 

STATEMENT

This Resolution authorizes and amends Resolution 7R1-c, adopted October 4, 2023, to correct the authorized contract amount for State Contract #T2458 with PKF O'Connor Davies, LLP, 20 Commerce Drive, Suite 301, Cranford, New Jersey 07016, by revising the contract amount from not to exceed $150,000.00 for the total contract period to not to exceed $150,000.00 per year. All other provisions of Resolution 7R1-c remain unchanged.
