WHEREAS, the City of Newark Department of Child and Family Well-Being wishes to continue to provide support, maintenance and upgrades of existing Oracle/Practice Management/Electronic Medical Record System, consistent with N.J.S.A40A:11-5(1)(i)(dd) et seq., and City of Newark Executive Order on Pay-to Play Reform, MEO-07-0001; and
 
WHEREAS, Success-EHS, Inc., (the "Contractors") have represented that they are qualified by training and experience and have provided  the required services in the manner and on the terms and conditions set forth in the  existing contract; and
 
WHEREAS, the City of Newark Department of Child and Family Well-Being, entered into a contract with Success-EHS, Inc., pursuant to Resolution 7R2-a (s) September 10, 2013, for the maintenance, support, enhancements and upgrades for its existing Comprehensive Practice Management System, of the City's Federally Qualified Health Centers, for a period not to exceed one (1) year beginning April 1, 2013 through March 31, 2014, with an option to renew for an additional one (1) year term, subject to Municipal Council approval; and
 
WHEREAS, the contract is an open-ended contract not to exceed one hundred forty four thousand dollars and no cents ($144,000.00); and
 
WHEREAS, the City of Newark desires to exercise the option to renew the contract with Success-EHS, Inc., for the period of April 1, 2014 through March 31, 2015, in the amount not to exceed one hundred forty four thousand dollars and no cents ($144,000.00); and
 
WHEREAS, this contract was awarded pursuant to the Fair and Open Process, as defined at N.J.S.A.19:44A-20.7, and is therefore in compliance with New Jersey Local Unit Pay-to-Play law.
 
 
NOW, THEREFORE, BE IT RESOLVED BY THE MUNICIPAL COUNCIL OF THE CITY OF NEWARK, NEW JERSEY, THAT:
 
1.      The Mayor and/or his designee, the Director of the Department of Child and Family Well-Being, is hereby authorized to exercise to option  to renew and execute an amendment to the existing contract with Success-EHS, Inc., an Alabama Corporation, with its principal address of One Metroplex Drive, Suite 500, Birmingham, Alabama 35209, for the contract period of April 1, 2014 through March 31, 2015, in an amount not to exceed one hundred forty four thousand dollars and no cents ($144,000.00), for the continued maintenance, support, enhancement and upgrades of licensed Oracle  practice management electronic medical record system of the City's Federally Qualified Health Centers.
 
2.      This contract (option to renew) is awarded pursuant to the Fair and Open N.J.S.A. 19:44A-20.5 and as competitive bidding contract pursuant to the provisions of Local Public Contracts Law N.J.S.A. 40A:11-4.1, which provides that a contract of this type itself must be available for public inspection.
 
3      The contract (option to renew) is further awarded as an open-ended contract pursuant to N.J.A.C.5:30-5.5(b) (2). A Certification of Funds shall be executed each time services are used and charged against this contract.
 
4.      There shall be no amendments or changes to this amendment and or contract without prior Municipal Council approval.
 
5.      A notice of this action shall be published in the newspaper authorized by law to publish a legal advertisement and as required by law within ten (10) days of its passage.
 
6.      A copy of the proposed amendment to the Contract is attached hereto.
 
7.      A duly executed copy of the aforesaid amendment to the Contract shall be filed forthwith in the Office of the City Clerk by the Director of the Department of Child and Family Well-Being.
 
STATEMENT:
 
This resolution ratifies and authorizes the Mayor and/or his designee, the Director of the Department of Child and Family Well-Being to exercise its option to renew and execute  an open-ended Extraordinary Unspecifiable Service contract with Success-EHS, Inc., One Metroplex Drive, Suite 500, Birmingham, Alabama 35209, for the continued maintenance  support, enhancement and upgrades for existing licensed oracle, practice management electronic medical record system of the City's Federally Qualified Health Centers, for the period of April 1, 2014 through March 31, 2015, in the amount not to exceed one hundred forty four thousand dollars and no cents ($144,000.00).
