WHEREAS, from January 2023 through December 2023, the City of Newark (the “City”) utilized the legal services of Anwanyu & Anyanwu and Associates, LLC (“Outside Counsel”) to handle the legal aspects of certain economic development matters for the City; and
WHEREAS, the City and Outside Counsel have reached a settlement agreement to resolve the matter of any and all outstanding fees related to the performance of said legal services (the “Legal Fees Settlement Agreement”); and
WHEREAS, said agreement entails paying Outside Counsel a total amount of Seventy-One Thousand One Hundred Ninety-Two Dollars and Fifty Cents ($71,192.50) (the “Settlement Sum”); and
WHEREAS, the Corporation Counsel deems it is in the best interest of the City to pay the Settlement Sum and to execute the Legal Fees Settlement Agreement.
NOW, THEREFORE, BE IT RESOLVED BY THE MUNICIPAL COUNCIL OF THE CITY OF NEWARK, NEW JERSEY, THAT:
1. The Corporation Counsel is hereby authorized on behalf of the City of Newark to enter into and execute the attached Legal Fees Settlement Agreement.
2. Upon receipt by the Corporation Counsel of all documents deemed necessary by the Corporation Counsel to the effective conclusion of this matter, the Director of the Department of Finance (the “Director”) shall pay the sum of Seventy-One Thousand One Hundred Ninety-Two Dollars and Fifty Cents ($71,192.50) to Anwanyu & Anyanwu and Associates, LLC, 17 Academy Street, Suite 517, Newark New Jersey 07102 (“Outside Counsel”).
3. A Certification of Funds is not attached to this Resolution. US Bank, Trustee for the Mulberry Commons Pedestrian Bridge Bonds (the “Bonds”), will pay the Settlement Sum directly to Outside Counsel from the proceeds of said Bonds.
4. The Corporation Counsel shall file a fully executed copy of the Legal Fees Settlement Agreement in the Office of the City Clerk.
5. This Resolution shall be effective upon adoption in accordance with applicable State Law.
6. The Legal Fees Settlement Agreement and this Resolution do not admit, nor should they be construed as an admission of liability or violation of any law, statute or regulation or a breach of any duty by the City of Newark, its agents, officers and/or employees, whatsoever. They are entered into based upon the recommendation of the Corporation Counsel as an efficient resolution of claims.
STATEMENT
This Resolution authorizes the Corporation Counsel, on behalf of the City of Newark to enter into and execute a Legal Fees Settlement Agreement with Anyanwu and Associates, LLC, 17 Academy Street, Suite 517, Newark, New Jersey 07102, to settle the matter of any and all outstanding fees for legal services rendered to the City between January 2023 and December 2023 in connection with certain economic development matters. The City of Newark will pay an amount of $71,192.50 in exchange for a complete release of any and all potential claims against the City arising out of the provision of said legal services.
