WHEREAS, the City of Newark’s (hereinafter, “City”) Department of Health and Community Wellness (hereinafter, “DHCW”) provides medical care services pursuant to and consistent with the Health Center Program laws and regulations (including Section 330 of Public Health Services Act, 42 U.S.C. Section 254b and 42 C.F.R. § 51c.301, et seq.); and
WHEREAS, on or about September 22, 2023, the City, through the Director of the DHCW submitted a grant application to Acenda, Inc. (“Acenda”), located at 42 Delsea South Drive, Glassboro, New Jersey 07028, requesting grant funding for FY 23-24 & FY 24-25 in order to supervise, manage, and train Community Health Workers (“CHW”), which was authorized by the City’s Municipal Council through adoption of Resolution 7R5-a on January 10, 2024; and
WHEREAS, on July 29, 2024, Acenda notified the City that there will be additional funds allocated for FY 24 and FY 25 in the amount of Six Thousand Six Hundred Sixty-Six Dollars and Sixty-Seven Cents for the continuation of the above described efforts, and the contract for FY 24 was extended from July 1, 2024 through July 31, 2024 (a copy of the email from Acenda is attached hereto and made a part hereof and the extension MOU); and
WHEREAS, Acenda subsequently sent the City a Memorandum of Understanding outlining a grant award in the amount of One Hundred Twenty-Three Thousand Dollars and Zero Cents ($123,000.00), for the period of August 1, 2024 through July 31, 2025 (a copy of the Memorandum of Understanding is attached hereto and made a part hereof); and
WHEREAS, the Director of the DHCW desires to accept said grant funds; and
WHEREAS, the City recognizes that Acenda may extend the time of the grant award and/or provide additional funds when it becomes available; and
WHEREAS, Acenda may amend the grant to reflect any time extension and/or increase or decrease of grant funds, as appropriate and which shall be subject to approval by the Municipal Council by resolution; and
WHEREAS, the terms of this grant award may only be waived or amended by the parties duly authorized to execute the grant, subject to the approval of the Municipal Council by resolution.
NOW, THEREFORE, BE IT RESOLVED BY THE MUNICIPAL COUNCIL OF THE CITY OF NEWARK, NEW JERSEY, THAT:
1. The Mayor, and/or his designee, the Director of the Department of Health and Community Wellness, are hereby authorized to execute the Memorandum of Understanding, which is attached hereto and made a part thereof, accepting grant funds from Acenda, Inc. located at 42 Delsea South Drive, Glassboro, New Jersey 07028, in the amount of One Hundred Twenty-Three Thousand Dollars and Zero Cents ($123,000.00), in order to continue to supervise, manage, and train Community Health Workers (“CHW”) for the period of August 1, 2024 through July 31, 2025.
2. The Municipal Council hereby ratifies the authorization of the execution of the Memorandum of Understandingfrom the date that the Memorandum of Understanding was executed from the date of adoption of this authorizing resolution to August 1, 2024.
3. The Mayor, and/or his designee, the Director of the Department of Health and Community Wellness, are hereby authorized to receive and expend the grant award for the aforementioned purpose for the period commencing on August 1, 2024 and terminating on July 31, 2025.
4. The Department of Health and Community Wellness shall, upon any extension of time of the grant and/or upon any increase or decrease of the grant funds, submit to the Municipal Council for its consideration an amending resolution reflecting the final time and amount of the awarded grant.
5. The Director of the Department of Health and Community Wellness shall file a copy of the Memorandum of Understanding in the Office of the City Clerk.
6. No municipal matching funds are required for the receipt or acceptance of this grant award.
STATEMENT
This Resolution authorizes and ratifies the actions taken by the Mayor, and/or his designee, the Director of Health and Community Wellness, to execute the Memorandum of Understanding accepting grant funds in the amount of One Hundred Twenty-Three Thousand Dollars and Zero Cents ($123,000.00), from Acenda, Inc., in order to continue to supervise, manage, and train Community Health Workers in the City of Newark and surrounding areas, for the period commencing on August 1, 2024 and terminating July 31, 2025. This resolution and acceptance of funds is ratified back to August 1, 2024 from the date of the adoption of this resolution. No municipal matching funds are required for the receipt or acceptance of these grant funds.
