WHEREAS, the City of Newark’s, Department of Health and Community Wellness (“DHCW”) is a Local Health Department and is co-affiliated with a Federally Qualified Health Center, Mary Eliza Mahoney Health center (hereinafter, the “City”; and

 

WHEREAS, RWJBH Corporate Services, Inc., 95 Old Short Hills Road, West Orange, New Jersey 07052 (hereinafter “RWJBH”), is a non-profit health organization organized under the laws of the State of New Jersey and which operates a licensed acute care facility providing inpatient, outpatient and emergency services in Newark; and

 

WHEREAS,  RWJBH and City have identified that there is a need for expanded access to comprehensive high-quality outpatient services, including specialty services, for the residents of their shared service area, particularly among City’s target population of low income and medically underserved individuals; and

 

WHEREAS, RWJBH, desires to provide the City with an in-kind donation consisting of maintenance services and access to RWJBH’s EPIC Electronic Health Record (“EHR”) system, including the initial grant of sublicenses and all related hardware, third-party software, support, maintenance, and other items and services necessary to implement, operate, and maintain the EPIC EHR system (the “Gift”), to allow the City to provide more coordinated and higher-quality healthcare services to its target population (the “Project”); and

 

WHEREAS, the City’s DHCW, desires to enter into an Agreement with RWJBH to accept the Gift for the period commencing March 1, 2026 and terminating April 30, 2031, with a total estimated value of Four Million Seven Hundred Ninety-Four Thousand Sixty-Five Dollars and Zero Cents ($4,794,065.00), services with a value of Two Million Eight Hundred Seventy-Six Thousand Four Hundred Thirty-Nine Dollars and Zero Cents ($2,876,439.00) is being donated for the period of May 1, 2026 through April 30, 2029, with funding for the remaining balance subject to the availability of grant funding from the State of New Jersey; and

 

WHEREAS, the City has determined and acknowledged that this Agreement directly supports services provided within the approved scope of its federal grant under Section 330 of the Public Health Service Act and is reasonably expected to enhance the quality, continuity, and availability of healthcare services for the medically underserved population it serves; and

WHEREAS, pursuant to Local Public Contracts Law, N.J.S.A. 40A:5-29, a local unit is authorized and empowered to accept bequests, legacies and gifts made to it and is empowered to utilize such bequests, legacies and gifts in the manner set forth in the conditions of the bequest, legacy or gift provided, however, that such bequest, legacy, or gift shall not be put to any use which is inconsistent with the laws of the State of New Jersey and the United States of America.

 

                     WHEREAS, RWJBH fully understands and agrees it is not entitled to receive any direct benefit from the City of Newark, Mayor Ras. J Baraka or any other personnel affiliated with the City in exchange for its gift; and

 

 

WHEREAS, terms of this Grant Award may only be waived or amended by the parties duly authorized to execute the Agreement, subject to the approval of the Municipal Council by resolution.

 

 

NOW, THEREFORE, BE IT RESOLVED BY THE MUNICIPAL COUNCIL OF THE CITY OF NEWARK, NEW JERSEY, THAT:

 

1.                     The Mayor of the City of Newark, and/or the Director of the Department of Health and Community Wellness (“DHCW”) are hereby authorized to accept from RWJBH Corporate Services, Inc., 94 Old Short Hills Road, West Orange, New Jersey 07052 (“Donor”), an in-kind donation of EPIC Electronic Medical Record (“EMR”) system maintenance services (the “Gift”) for the period March 1, 2026 through April 30, 2031, with an estimated total value of Four Million Seven Hundred Ninety-Four Thousand Sixty-Five Dollars and Zero Cents ($4,794,065.00), with a partial donation of EMR maintenance services at a value of approximately Two Million Eight Hundred Seventy-Six Thousand Four Hundred Thirty-Nine Dollars and Zero Cents ($2,876,439.00) for the period May 1, 2026 through April 30, 2029, with funding for the remaining term subject to the availability of State grant funds to allow the City to provide more coordinated and higher-quality healthcare services to its target population (the “Project”).

 

2.                     The City acknowledges the generous donation of the Gift through this Resolution.

 

3.                     The acceptance of this Gift is hereby ratified from May 1, 2026 to date of adoption of this authorizing Resolution.

 

4. The Director of Health and Community Wellness shall file an executed copy of the Donation Agreement and the Epic EMR System Access and Services Agreement in the Office of the City Clerk.

 

5.                     No municipal funds will be expended for the acceptance of this gift.

 

 STATEMENT

 

This Resolution ratifies and authorizes the Mayor and/or the Director of the Department of Health and Community Wellness to accept the gift of maintenance of  the EPIC/EMR system from RWJBH Corporate Services, Inc., 95 Old Short Hills Road, West Orange, New Jersey 07052 with an estimated total value of Four Million Seven Hundred Ninety-Four Thousand Sixty-Five Dollars and Zero Cents ($4,794,065.00), with a partial donation of  EMR maintenance services with a value of approximately Two Million Eight Hundred Seventy-Six Thousand Four Hundred Thirty-Nine Dollars and Zero Cents ($2,876,439.00) for the period May 1, 2026 through April 30, 2029, with funding for the remaining term subject to the availability of State grant funds to allow the City to provide more coordinated and higher-quality healthcare services to its target population.
