This Cooperative Purchasing Agreement authorizes the City to enter into and execute a membership agreement with Passaic Valley Sewerage Commission (“PVSC”), the operator of the North Jersey Wastewater Cooperative Purchasing System (“NJWCPS”), to purchase goods and/or services from the NJWCPS, which will provide for efficiency and cost-savings to the City of Newark.

WHEREAS, the City of Newark (“City”) in furtherance of its goals to search for lower costs, greater efficiency and improved product quality, wishes to enter into an Inter-local Contract for Cooperative Purchasing; and
WHEREAS, cooperative purchasing is an inclusive term used to describe all purchasing systems where two or more local contracting units join together for the provision or performance of goods or services as provided for by the Local Public Contracts Law, N.J.S.A. 40A:11-1et seq.; and
WHEREAS, the purchase of goods or services by two (2) or more contracting units increases proportionate saving in costs gained by an increased level of production; and
WHEREAS, N.J.S.A. 40A:11-10(a)(1) authorizes two (2) or more contracting units to establish a Cooperative Pricing System and to enter into a Cooperative Pricing Agreement for its administration; and
WHEREAS, North Jersey Wastewater Cooperative Pricing System (“NJWCPS”), a locally recognized and accepted cooperative purchasing organization, maintains Local Cooperative Agreement Contracts, which are competitively awarded through which members can make purchases; and
WHEREAS, the NJWCPS was developed for the purpose of utilizing a competitive bidding process to make the procurement process more efficient and provide cost savings to its members; and
WHEREAS, the City has deemed it to be in the best interest of the departments and the City to pursue membership in the NJWCPS, due to the efficiency and cost savings benefits; and
WHEREAS, the Passaic Valley Sewerage Commission (“PVSC”) is the operator of the NJWCPS; and
WHEREAS, the Qualified Purchasing Agent wishes to execute a membership agreement (attached hereto) to join the NJWCPS, by executing an agreement with PVSC, in order to purchase goods and/or services, to make the procurement process more efficient and to provide cost savings to the City overall; and
WHEREAS, the membership shall be for a period ending November 24, 2024, and for each renewal period thereafter of the system, unless the City elects to formally withdraw from the system.
NOW, THEREFORE, BE IT RESOLVED BY THE MUNICIPAL COUNCIL OF THE CITY OF NEWARK, NEW JERSEY, THAT:
1. The Mayor of the City of Newark and/or his designee, the Business Administrator and/or the Qualified Purchasing Agent, are hereby authorized to enter into and execute a membership agreement with Passaic Valley Sewerage Commission (“PVSC”), the operator of the North Jersey Wastewater Cooperative Pricing System (“NJWCPS”) (attached hereto) through expiration on November 24, 2024 and each renewal period of the system thereafter, unless the City of Newark formally withdraws its membership from the cooperative system.
2. The membership will extend the buying power of the City through the Division of Central Purchasing with the acquisition of goods and/or services.
3. The Division of Central Purchasing through the Qualified Purchasing Agent shall ensure that the goods and/or services procured through the system comply with applicable laws of the State of New Jersey, Local Public Contract Law N.J.S.A. 40A:11-1et seq. and all other provisions of the revised statutes of the State of New Jersey.
4. A duly executed copy of the Cooperative Purchasing Contract shall be filed in the Office of the City Clerk by the Purchasing Agent, QPA.
5. If required by State Law, the Acting City Clerk shall provide the appropriate notice of the authorization of this contract usage to the State Comptroller, no later than twenty (20) business days following such authorization, in accordance with N.J.S.A. 52:15C-10 and the Notice of the Office of the State Comptroller, dated May 7, 2008.
STATEMENT
This Resolution authorizes the Mayor of the City of Newark and/or his designees, the Business Administrator, and/or the Purchasing Agent, QPA, to execute a membership agreement with the Passaic Valley Sewerage Commission (“PVSC”), the operator of North Jersey Wastewater Cooperative Pricing System (“NJWCPS”), for the purpose of purchasing from their Cooperative Purchasing Program, to allow the City of Newark to procure goods and services which will maximize procurement dollars, improve product quality and increase efficiency. The NJWCPS membership shall commence upon adoption of this Resolution through expiration on November 24, 2024, and each renewal period of the system thereafter, unless the City formally withdraws its membership from the cooperative system.
