Whereas,   the Insurance Fund Commission of the City of Newark is in need of a Third Party Administrator to assist the City of Newark with the administration of its Self-Insured Workers' Compensation Program; and
 
WHEREAS, by Resolution 7R7-f, adopted March 16, 2011, the Municipal Council authorized the Mayor and Business Administrator to enter into a contract with Cannon Cochran Management Services, Inc., (CCMSI), 3535 Route 66, Building 6, Neptune, NJ 07752, for the period of December 5, 2010 and terminating on December 4, 2011 for administration consulting and management services as the Third-Party Administrator of the Self-Insured Workers' Compensation program (hereinafter, the "Contract":); and
 
WHEREAS, the Contract was for a term of one year, commencing on December 5, 2010 and terminating on December 4, 2011, with a one (1) year extension provision, subject to the approval of the Municipal Council; and
 
WHEREAS, due to the performance of Cannon Cochran Management Services, Inc., as well as the nature of the work performed by CCMSI and the ongoing projects being handled by CCMSI, the Insurance Fund Commission of the City of Newark wishes to extend the Contract with CCMSI as its Third Party Administrator to assist the City with the administration of its self-insured workers' compensation program for a term of one (1) year, at the same annual compensation rate as provided for in the Contract; and
 
WHEREAS, the Mayor of the City of Newark signed into law Executive Order Number MEO-07-001 (hereinafter "Pay-to-Play Executive Order"), which requires reporting of political contributions to Newark Municipal Candidates and prohibits certain political contributions during the duration of the contract; and
 
 
WHEREAS, CCMSI has completed and submitted a Business Entity Disclosure Certification which certifies that CCMSI has not made any reportable contributions to a political or candidate committee in the City of Newark in the previous one year, and this contract amendment will prohibit CCMSI from making any contributions through the term of the contract.
 
NOW, THEREFORE, BE IT RESOLVED BY THE MUNICIPAL COUNCIL OF THE CITY OF NEWARK, NEW JERSEY, THAT:
 
      1.  The Mayor and/or his designee, the Business Administrator are hereby authorized to enter into and execute an  Amendment to the Contract for Workers' Compensation Third-Party Administration Consulting and Management Services (hereinafter referred to as the "Amendment to Contract") with Cannon Cochran Management Services, Inc. 3535 Route 66, Building 6, Neptune, New Jersey 07752, for the provision of consulting and administrative services as more fully described therein as the Third Party Administrator of the City of Newark's Self-Insured Workers' Compensation Program for an amount not to exceed  $395,833.00, exclusive of the costs and fees outlined on the schedule of fees, for the extended one year term.  
 
2.  The period of the Contract shall be extended from December 5, 2011 and terminating on September 30, 2012. Resolution 7R7-f 031611 is amended accordingly.
 
 
3.  The Amendment to Contract is hereby ratified from December 5, 2011 to the date of adoption of this authorizing resolution.
 
4.  This Amendment to Contract is awarded as an open-ended contract under N.J.A.C. 5:34-5.3(b) and pursuant to N.J.A.C. 5-34-5.3(b)(2), a certification of availability of funds shall be executed each time services are used and charged against the contract.
 
5.  This Amendment to Contract is being awarded in compliance with the Local Public Contracts Law, N.J.S.A. 40A:11-1 et seq. and in compliance with Newark Executive Order MEO-07-0001, effective March 31, 2007.
 
6. CCMSI has completed and submitted a City of Newark Political Contribution Disclosure Statement and a certification, which shall be placed on file with the Resolution in the City Clerk's Office, certifying that CCMSI has not made any reportable contributions to a political or candidate committee in the City of Newark in the previous one year.
      
      7. There shall be no further amendments or changes of this Amendment to Contract without approval of the Municipal Council.
 
      8. There shall be no advance payments on this Amendment to Contract in accordance with N.J.S.A. 40A:5-16.
 
      9.  A fully executed copy of the Amendment to Contract shall be forthwith filed in the Office of the City Clerk by the Business Administrator.
 
10. A notice of this action shall be published in the newspaper as required by law within 10 days of its passage.
 
 
STATEMENT
 
This resolution ratifies and authorizes the Mayor and/or his designee Business Administrator, to enter into and execute an Amendment to Contract for Workers' Compensation Third-Party Administration Consulting and Management Services with Cannon Cochran Management Services, Inc., 3535 Route 66, Building 6, Neptune, New Jersey 07752, for the provision of administration consulting and management services as the Third Party Administrator of the City of Newark Self-Insured Workers' Compensation Program, for an amount not to exceed $395,833.00, for the period commencing on December 5, 2011 and terminating on September 30, 2012.
