This First Amendment changes the scope of work and increases the contract amount by $12,400.00 for a new total contract amount not to exceed $109,634.37.

WHEREAS, on July 22, 2020 the Municipal Council adopted Resolution 7R8-a awarding a contract to Granicus, LLC in an amount not to exceed $97,234.37 for a period of May 1, 2020 through April 30, 2021; and
WHEREAS, the City Clerk, on behalf of the City of Newark and Granicus entered into an Agreement effective May 1, 2020 (the “Agreement”); and
WHEREAS, in addition to the existing agreement, the Office of the City Clerk wishes to add certain products and services as detailed in Q-100260, which is attached as Exhibit A and incorporated herein by reference; in order to facilitate the processing and certification of legislation without manual signatures in accordance with State requirements; and
WHEREAS, the products and services that are detailed in Q-100260 are necessary in order to ensure the continuation of Municipal Council Meetings, efficiency and economy of business and the certification of legislation during the COVID-19 pandemic and thereafter; and
WHEREAS, a First Amendment will increase the existing contract amount by Twelve Thousand Four Hundred Dollars and Zero Cents ($12,400.00), a one-time fee, for a new total contract amount not to exceed One Hundred Nine Thousand, Six Hundred Thirty-Four Dollars and Thirty-Seven Cents ($109,634.37).
NOW, THEREFORE, BE IT RESOLVED BY THE MUNICIPAL COUNCIL OF THE CITY OF NEWARK, NEW JERSEY, THAT:
1. This resolution authorizes the City Clerk, on behalf of the City of Newark, to enter into and execute a First Amendment to the Agreement, amending the scope of work to include software that will facilitate the processing and certification of legislation without manual signatures for an amount not to exceed Twelve Thousand Four Hundred Dollars and Zero Cents ($12,400.00).
2. The First Amendment to the Agreement will commence upon the issuance of a “Notice to Proceed” to be filed with the Office of the City Clerk.
3. Attached hereto is the Comptroller’s Certification, which states the funds in the amount of $59,634.37 are available in the 2020 Adopted Budget, Fund 0011, Dept. ID: 020, Div. Proj. 0201, Account: 71280, Bud. Ref.: B2020. The Certification shall be filed along with the original resolution and the executed contract in the Office of the City Clerk. The Certification includes the remainder of the monies for the original contract plus the increased amount through this First Amendment.
4. Except as amended by this First Amendment, all other terms and conditions of the Agreement shall remain in full force and effect.
5. The City Clerk is hereby authorized on behalf of the City of Newark to enter into and execute a First Amendment to the Agreement with Granicus, LLC, 408 Saint Peter Street, Suite 600, Saint Paul, Minnesota 55102, amending the scope of work and increasing the contract amount by Twelve Thousand Four Hundred Dollars and Zero Cents ($12,400.00), for a total contract amount not to exceed One Hundred Nine Thousand, Six Hundred Thirty-Four Dollars and Thirty-Seven Cents ($109,634.37).
6. A copy of the executed First Amendment to the Agreement and Notice to Proceed shall be filed in the Office of the City Clerk and shall be made available for public inspection.
