WHEREAS, the State of New Jersey, through the Department of Transportation (NJDOT or State) is about to undertake the design and construction of State Route 23 over Pequannock River/Hamburg Turnpike, UECA-08-6-23PEQ, UPC Code 083470, located in Kinnelon Borough, Morris County and West Milford Township, Passaic County (hereinafter called the "Project"); and
WHEREAS, the Project may require the construction of new, and /or the protection, relocation and/or adjustment of the existing water distribution system which is owned by the City of Newark (City); and
WHEREAS, the City's legal right to occupy the public right-of-way, subject to the conditions imposed by the State, is in no way changed or mitigated by this Agreement; and
WHEREAS, the City is not obligated under State law or agreement to relocate its own utility facilities at its own expense for this type of Project; and
