WHEREAS, the City is a party to a Host Municipality Agreement dated May 15, 1985 (the "Original Agreement') among the City, the Port Authority of New York and New Jersey (the "Authority") and the County of Essex, New Jersey (the "County"). The Original Agreement has expired; and
WHEREAS, the Interim Host Municipality Agreement (this "Agreement" or "Interim Agreement") is made and entered into as of January 1, 2021 (the "Effective Date") by and between COVANTA ESSEX COMPANY, a New Jersey general partnership with its principal place of business at 183 Raymond Boulevard, Newark, New Jersey 07105-4798 (the "Company") and THE CITY OF NEWARK, NEW JERSEY, a duly incorporated city pursuant to the laws of the State of New Jersey (the "City"); and
WHEREAS, the Company has designed and constructed, and owns and is operating, a solid waste disposal, electric power generating and resource recovery facility located at 183 Raymond Boulevard, Newark, New Jersey 07105-4798 (the "Facility"); and
WHEREAS, the City and the Company wish to enter into this Agreement as an "interim agreement" between the City and the Company pursuant to Section 8.2...
