WHEREAS, pursuant to Resolution 7R1-a(s), adopted December 8, 2009, the Municipal Council of the City of Newark authorized the Mayor and the Business Administrator to enter into an agreement with Dennison Associates, Inc., to provide technical assistance for HUD entitlement programs, in the amount of $1,000,000.00, for a period of two (2) years from December 1, 2009 to November 30, 2011, with an option to extend for an additional term of one (1) year funded by the Department of Housing and Urban Development Act (HCDA); and
 
WHEREAS, pursuant to Resolution 7R1-b, adopted November 22, 2011, the Municipal Council of the City of Newark authorized the Mayor and the Business Administrator to amend the agreement with Dennison Associates, Inc., extending the term length from December 1, 2009 to November 30, 2012 to provide technical assistance for HUD entitlement programs, with an option to extend for an additional term of one (1) year, funded by Department of Housing and Community Development Act (HCDA); and
 
      WHEREAS, the City of Newark remains in need of and is desirous of maintaining technical assistance for HUD Entitlement Programs to continue the development of and implementation of a streamlined, centralized grants management process, completion of all compliance activities, assisting the City in completing the Annual Action Plan and CAPER reports; and
 
            WHEREAS, the Business Administrator of the City of Newark has determined that it would be in the best interest of the City of Newark to extend the technical assistance services of Dennison Associates, Inc., 1629 K Street NW, Suite 503, Washington, DC 20006-1634, for an additional one (1) year, beginning December 1, 2012 to November 30, 2013, with an option to extend for an additional term of one (1) year, with no additional funds required; and
 
      WHEREAS, all other terms and conditions of the agreement between the City of Newark and Dennison Associates, Inc. will remain the same.
 
      NOW, THEREFORE, BE IT RESOLVED BY THE MUNICIPAL COUNCIL OF THE CITY OF NEWARK, NEW JERSEY, THAT:
 
1.      The Mayor and/or his designee, the Business Administrator, are hereby authorized to enter into and execute an Amended Agreement, on behalf of the City of Newark with Dennison Associates, Inc., 1629 K Street NW, Suite 503, Washington, DC 20006-1634, to provide technical assistance services, which is further described in the "Scope of Service" attached thereto, to extend the contract for a term of one (1) year, from December 1, 2012 to November 30, 2013, to be paid from HCDA funding.
 
2.      The Municipal Council hereby ratifies its authorization to extend the term of this contract upon adoption of this resolution.
 
3.      All other terms and conditions of the contract remain the same.
 
4.      This contract is being awarded pursuant to the non-fair and open procedures of State Pay-to-Play Law, N.J.S.A. 19:44A-20.5 and pursuant to the provisions of the Local Public Contracts Law (N.J.S.A. 40A:11-5(1)(a)(ii) and is in compliance with Newark Executive Order MEO-07-0001, effective March 31, 2007.
 
5.      A determination of value was attached with the original resolution and was filed in the Office of the City Clerk.
 
6.      Dennison Associates, Inc. has completed and submitted a Business Entity Disclosure Certificate which is on file with the original resolution 7R1-a(s) 120809 in the Office of the City Clerk, certifying that Dennison Associates, Inc.,  has not made any reportable contributions to a political candidate or committee in the City of Newark in the previous one year, and the contract will prohibit Dennison Associates, Inc., from making reportable contributions through the term of the contract.
 
7.      The contract was awarded without competitive bidding as an exception to Local Public Contracts Law pursuant to (N.J.S.A. 40A:11-5(1)(a)(ii) "Extraordinary Unspecifiable Services."
 
8.      A notice of this action shall be published in the newspaper authorized by law to publish a legal advertisement and as required by law within ten (10) days of its passage.
 
9.      An executed copy of said Amended Agreement shall be filed with the Office of the City Clerk by the Business Administrator.
 
STATEMENT
 
This resolution ratifies and authorizes the Mayor and/or his designee, the Business Administrator, to enter into and execute an Amended Agreement on behalf of the City of Newark with Dennison Associates, Inc., 1629 K Street NW, Suite 503, Washington, DC 20006-1634, to provide technical assistance services, which is further described in the "Scope of Service" attached thereto, for the amended agreement term December 1, 2011 to November 30, 2013, to be paid from HCDA funding.
