WHEREAS, pursuant to Resolution 7R3-a 011911, the Municipal Council authorized the Deputy Mayor/Director of the Department of Economic & Housing Development to enter into and execute a non-fair and open Sub-recipient Agreement with The CHEN School, Inc., for the purpose of providing physical rehabilitation services to its facility located at 24 Maiden Lane, Newark, New Jersey 07102, for the term of December 1, 2010 through November 30, 2012, in an amount not to exceed $2,000,000.00; and
 
WHEREAS, the term of the above Sub-recipient Agreement has expired and the Deputy Mayor/Director of the Department of Economic & Housing Development seeks authorization to enter into and execute a First Amended Sub-recipient Agreement to extend the term of the Sub-recipient Agreement from December 1, 2010 -through November 30, 2012 to December 1, 2010 through November 30, 2013 to allow The CHEN School, Inc. to complete the above-referenced project.
 
      NOW THEREFORE, BE IT RESOLVED BY THE MUNICIPAL COUNCIL OF THE CITY OF NEWARK, NEW JERSEY, THAT:
 
1.      The Mayor and/or his designees, the Business Administrator and the Deputy Mayor/Director of the Department of Economic & Housing Development, are hereby authorized to enter into and execute a First Amended Sub-recipient Agreement with The CHEN School, Inc., to extend the term of the Sub-recipient Agreement from December 1, 2010 through November 30, 2012 to December 1, 2010 through November 30, 2013, to allow The CHEN School, Inc. to complete the physical rehabilitation services to its facility located at 24 Maiden Lane, Newark, New Jersey  07102.
 
2.      The First Amended Sub-recipient Agreement between the City of Newark and The CHEN School, Inc. is hereby ratified from November 30, 2012 to the date of adoption of this authorizing resolution.
 
3.      No additional City funds are required for this First Amended Sub-recipient Agreement.
 
4.      Except as amended herein, all other terms and conditions approved and authorized by Resolution 7R3-a on January 19, 2011 shall remain in full force and effect.
 
5.      This First Amended Sub-recipient Agreement is in compliance with Local Public Contracts Law, including but not limited to N.J.S.A. 40A:11-4.1(b)(2) and/or N.J.S.A. 40A:11-5, and the Community Development Block Grants Public Facilities and Improvements Law, 24 CFR 570.201 (c).
 
6.      An executed copy of the First Amended Sub-recipient Agreement shall be filed with the Office of the City Clerk by the Deputy Mayor/Director of the Department of Economic & Housing Development on behalf of the Business Administrator.
 
STATEMENT
 
This resolution authorizes the Mayor and/or his designees, the Business Administrator and the Deputy Mayor/Director of the Department of Economic & Housing Development, to enter into and execute a First Amended Sub-recipient Agreement with The CHEN School, Inc., to extend the term of the Sub-recipient Agreement from December 1, 2010 through November 30, 2012 to December 1, 2010 through November 30, 2013, to allow The CHEN School, Inc. to complete the physical rehabilitation services to its facility located at 24 Maiden Lane, Newark, NJ  07102.  The First Amended Agreement is hereby ratified from November 30, 2012 until the date of adoption of this resolution. Except as amended herein, all other terms and conditions approved and authorized by Resolution 7R3-a on January 19, 2011 shall remain in full force and effect.
