WHEREAS, the Municipal Council of the City of Newark on June 2, 2010, pursuant to Resolution No. 7R5-A, authorized the Mayor and/or his designee, the Director of Finance to enter into a contract with Appraisal Systems, Inc., 8 Catano Avenue, Morristown, New Jersey 07960, as the only responsible and lowest bidder in accordance with Request for Proposals Specifications, for a total amount not to exceed $3,996,000.00, to provide services for the revaluation of all real property in the City of Newark; and
WHEREAS, the contract was submitted to the New Jersey Department of the Treasury for their review of the contract and they had comments; and
WHEREAS, on November 4, 2010 pursuant to Resolution No. 7R5-D, the City of Newark amended the contract granted to Appraisal Systems, Inc. to include the amendments recommended by the New Jersey Department of the Treasury; and
WHEREAS, Section 1 of the Financial Agreement provides in part that: "[t]his contract may be extended provided that
b) There will be no price change and no additional funds will be received; c) The terms and conditions of the contract remain substantially the same."; and
WHEREAS, on September 6, 2012 the Municipal Council adopted Resolution No. 7R5-B, which authorized the execution of a First Amended Contract with Appraisal Systems, Inc. to extend the period of the contract until December 31, 2012 to complete the services for the revaluation of all real property in the City of Newark; and
WHEREAS, the revaluation of all real property in the City of Newark has not been completed; and
WHEREAS, the Department of Finance is requesting authorization to enter into a Second Amended Contract with Appraisal Systems, Inc. to extend the contract period to complete the revaluation of all real property in the City of Newark until April 1, 2013; and
WHEREAS, the Second Amended Contract is ratified for the period of the extension of the contract from January 1, 2013 to the adoption of the resolution and extending to April 1, 2013; and
WHEREAS, the Mayor of the City of Newark signed into law Executive Order Number MEO-07-0001 (hereinafter "Pay-to-Play Executive Order"), which requires reporting of political contributions to Newark Municipal Candidates and prohibits certain political contributions during the duration of the contract.
NOW, THEREFORE, BE IT RESOLVED BY THE MUNICIPAL COUNCIL OF THE CITY OF NEWARK, NEW JERSEY, THAT:
1. The Mayor and/or his designee, the Director of Finance, are hereby authorized to enter into and execute a Second Amended Contract, the form attached hereto, with Appraisal Systems, Inc., 8 Catano Avenue, Morristown, New Jersey 07960, to extend the period of the contract until April 1, 2013, in order to complete the services for the revaluation of all real property in the City of Newark.
2. No additional funds shall be awarded to the entity under the Second Amended Contract.
3. No additional work or assignments other than the revaluation services required under the contract shall be given to Appraisal Systems, Inc. under the Second Amended Contract.
4. This resolution and fully executed copy of the Second Amended Contract shall be filed with the Office of the City Clerk by the Director of the Department of Finance.
5. All other terms and conditions contained in the contract pursuant to Resolution No. 7R5-A, adopted on June 2, 2010 (Exhibit A), and amended pursuant to Resolution No. 7R5-D, adopted on November 4, 2010 (Exhibit B), and the First Amended Contract adopted on September 6, 2012 pursuant to Resolution No. 7R5-B (Exhibit C) shall remain in full force and effect in accordance with the law unless amended herein.
