      WHEREAS, the City of Newark, Department of Neighborhood & Recreational Services, Division of Recreation/Cultural Affairs recognizes the need to acquire a sophisticated computerized identification system capable of providing financial accountability, delivery of a wide range of reports, allow registration and payment management, manage and facilitate new membership and  renewals, reduce data administration, track attendance at enrichment programs, camps and other group settings as well as to quickly communicate with registered users and member via texts and email; and
 
WHEREAS, the Division of Recreation/Cultural Affairs desires to secure a highly qualified, professional and reliable contractor to provide proprietary computer software for a "Web-Based Parks & Recreation Management Software Solution for Online Registration and Facility Reservations" system as described above (hereinafter referred to as "Registration Management Software") and associated services for a period of five (5) years beginning from the date of adoption of this authorizing resolution, and ending on December 31, 2017; and
 
WHEREAS, the Municipal Council of the City of Newark hereby authorizes and ratifies the use of competitive contracting for the procurement of a Registration Management System from the date of adoption of this resolution, and authorizes its use in the future; and
 
WHEREAS, pursuant to the Local Public Contracts Law proprietary computer software and competitive contracting provisions of N.J.S.A. 40A:11-4.1, and pursuant further to the fair and open process of the State Pay-to-Play Law N.J.S.A. 19:44A-20.4, et seq., on March 12, 2012, the City of Newark published a Request for Proposal ("RFP"), a copy of which is attached hereto and made a part hereof, for the computer software and services described above, with all proposals due on April 5, 2012; and
 
WHEREAS, three (3) companies submitted responses to the RFP; and
 
WHEREAS, the proposal received from E-Websity, Inc., trading as CapturePoint.com, 215 East Ridgewood Avenue, Suite 205, Ridgewood, NJ 07451 (hereinafter referred to as "CapturePoint.com"), was found to be the most advantageous to the City of Newark based upon experience and all other criteria listed in the RFP; and
 
WHEREAS, the proposal received from CapturePoint.com was at a total cost of Sixty-Seven Thousand, Five Hundred Twenty-Three Dollars and No Cents ($67,523.00) for the entire five (5) year term, more specifically divided into annual payments of Twenty-One Thousand, Five Hundred Forty-Three Dollars  and No Cents ($21,543.00) for the first year, and Eleven Thousand, Four Hundred Ninety-Five Dollars and No Cents ($11,495.00) for each of the remaining four (4) years.
 
NOW, THEREFORE, BE IT RESOLVED BY THE MUNICIPAL COUNCIL OF THE CITY OF NEWARK, NEW JERSEY, THAT:
 
1.      The Mayor and/or his designee, the Director of the Department of Neighborhood and Recreational Services, is hereby authorized to enter into and execute a contract with E-Websity, Inc., trading as CapturePoint.com, 215 East Ridgewood Avenue, suite 205, Ridgewood, NJ 07451, for the provision of a Registration Management Software system and associated services as more specifically described in the attached RFP, for a period of five (5) years beginning on the date of adoption of this authorizing resolution and ending on December 31, 2017.
 
2      The total amount to be paid CapturePoint.com during the full five (5) year term of the contract shall not exceed Sixty-Seven Thousand, Five Hundred Twenty-Three Dollars and No Cents ($67,523.00), which total sum shall be divided into annual payments of Twenty-One Thousand, Five Hundred Forty-Three Dollars  and No Cents ($21,543.00) for the first year of the contract term, and Eleven Thousand, Four Hundred Ninety-Five Dollars and No Cents ($11,495.00) for each of the remaining four (4) years of the contract term.
      
3.      The Municipal Council of the City of Newark hereby authorizes and ratifies the use of competitive contracting for the procurement of a Registration Management System from the date of adoption of this resolution, and authorizes its use in the future.
 
4.      The contract shall be in a form acceptable to the City of Newark's Corporation Counsel.
 
5.      There shall be no advance payment on this contract in accordance with N.J.S.A. 40A:5-16.
 
6.      Attached hereto is a Certification of Funds from the Municipal Comptroller of the City of Newark, which states that there are sufficient funds (i.e., $21,543.00 ) to pay for the first year of the contract term.
 
7.      The contract's continuation beyond the first year of its term shall be subject to the availability and appropriation annually of sufficient funds from the City of Newark Budget as may be required.
 
8.      Copies of this resolution and the executed contract shall be filed in the Office of the City Clerk by the Director of the Department of Neighborhood and Recreational Services.
 
 
STATEMENT
 
This resolution hereby authorizes the Mayor and/or his designee, the Director of Neighborhood & Recreational Services, to enter into and execute a contract with E-Websity, Inc., trading as CapturePoint.com, 215 East Ridgewood Avenue, Suite 205, Ridgewood, NJ 07451, for the provision of a computerized web-based Parks & Recreation Management Software Solution for an Online Registration and Facility Reservation system, in a total amount not to exceed Sixty-Seven Thousand, Five Hundred Twenty-Three Dollars and No Cents ($67,523.00) for a five (5) year term beginning on the date of adoption of this authorizing resolution and ending on December 31, 2017.
