WHEREAS, on December 19, 2012, Newark Municipal Council awarded contract # G215009 to International Salt Company, LLC with the adoption of resolution 7R1-s, dated December 19, 2012; and
WHEREAS, the term of the contract is March 1, 2013 to February 28, 2015; and
WHEREAS, on October 21, 2014, the Division of Central Purchasing received notification from International Salt LLC, (ISOC), Company, 655 Northern Boulevard, Clarks Summit, Pennsylvania 18411 that an internal reorganization of the company occurred on or about September 29, 2014, resulting in the merging of International Salt Company, LLC ("ISCO") into Morton Salt, Inc. ("MSI") based at 123 N. Wacker Drive, Chicago, Illinois 60606; and
WHEREAS, Morton Salt, Inc., is registered to do business in the State of New Jersey; and
WHEREAS, International Salt Company, LLC requested the consent of the City of Newark to assign the remaining obligation of the Road Maintenance, Salt, Bulk contract from September 1, 2014, through February 28, 2015, to Morton Salt Inc.; and
WHEREAS, new orders on or after September 1, 2014, should be mailed to Oakbrook Center of Excellence, Morton Salt, Inc. (Attn: Road Salt Department), 2625 Butterfield Road, Suite 208E, Oakbrook, Illinois60523; and
WHEREAS, the value of the contract remains unchanged at a not to exceed amount of $890,000.00 for two years.
NOW, THEREFORE, BE IT RESOLVED BY THE MUNICIPAL COUNCIL OF THE CITY OF NEWARK, NEW JERSEY, THAT:
1. The Mayor, the Assistant Business Administrator and the Purchasing Director are hereby authorized to consent to the assignment of Contract # G215009, for Road Maintenance Salt, Bulk, from International Salt Company, LLC, to Morton Salt Inc., from the date of September 1, 2014 to the expiration of the contract, February 28, 2015.
2. There shall be no advance payment on this contract in accordance with N.J.S.A. 40A:5-16. Funds for 2015 are contingent upon appropriations pursuant to N.J.A.C. 5:30-5.5.
3. This consent to assignment does not require any increase to the original value of the contract.
4. A duly executed copy of this resolution shall be forthwith attached to and become a part of Contract G215009.
STATEMENT
This resolution amends, ratify and authorizes the assignment of Contract G215009 authorized by resolution 7R1-s 121912, from International Salt Company, LLC ("ISCO") to Morton Salt Inc. ("MSI") to provide Road Maintenance Salt, Bulk. The term of the contract remains from September 1, 2014 through February 28, 2015 and requires no monetary increase to the original contract not to exceed amount of $890,000.00.
