WHEREAS, Emergency Contract #E-2016-04 was entered into to allow for the provision of medical and laboratory services with Laboratory Corporation of America Holdings, 69 First Avenue, Raritan, New Jersey 08869, from January 2, 2016, through April 1, 2016, in the amount of One Hundred Seventeen Thousand Dollars and Zero Cents ($117,000.00) (a copy of said Emergency Contract #E-2016-04 is attached hereto and made a part hereof); and
WHEREAS, the Division of Central Purchasing advertised for proposals for Medical and Laboratory Services on August 25, 2015; and
WHEREAS, the Division of Central Purchasing received two (2) bids in response to the proposal on September 17, 2015, one bid was found to be deficient and it was rejected; and
WHEREAS, as a result of the above-described procurement process, the Department of Health and Community Wellness recommended to the Municipal Council of the City of Newark that a contract be awarded to Laboratory Corporation of America Holdings; and
WHEREAS, pursuant to Resolution 7R1-f 050416, adopted on May 4, 2016, the Municipal Council of the City of Newark approved the award of a contract for Medical and Laboratory Services to Laboratory Corporation of America Holdings for a period of two (2) years, the commencement and termination dates of which are to be established upon execution (a copy of Resolution 7R1-f 050416 is attached hereto and made a part hereof); and
WHEREAS, the above-mentioned contract for Medical and Laboratory Services with Laboratory Corporation of America Holdings is pending full execution; and
WHEREAS, the City of Newark’s Department of Health and Community Wellness is in immediate and emergent need of medical and laboratory services for the period between when the initial Emergency Contract #E-2016-04 terminated and when the contract authorized by Resolution 7R1-f 050416 takes affect; and
WHEREAS, N.J.S.A. 40A:11-6 provides that emergency contracts may be entered into when an emergency affecting the public health, safety or welfare requires the immediate delivery of goods or the performance of services; and
WHEREAS, N.J.A.C. 5:34-6.1(a)3 provides that the emergency purchasing procedure may be used when the need for such goods or services has arisen notwithstanding a good faith effort on the part of a municipality to plan for the purchase of any goods or services required by the municipality; and
WHEREAS, one of the primary functions of the Department of Health and Community Wellness, is to provide medical and dental care to residents in the City of Newark and it is vital for the health clinics to perform laboratory services to patients referred by providers from 110 William Street, Newark, New Jersey 07102, 394 University Avenue, Newark, New Jersey 07102, 140 Bergen Street, Newark, New Jersey 07103 and the Mobile Medical Van; and
WHEREAS, it is a matter of public health and welfare that the above-described emergency contract be extended because the clinics cannot operate without laboratory services; and
WHEREAS, City Ordinance 6PSF-e, April 6, 2011, Article 2:5-13.2(e)(1)(c) provides that no extensions of an emergency contract shall be permitted without authorization by the Municipal Council by resolution; and
WHEREAS, the Department of Health and Community Wellness desires to extend the above-described emergency contract for (120) days from April 2, 2016, until July 31, 2016, or until the contract authorized by Resolution 7R1-f 050416 takes effect, whichever occurs first, in an amount not to exceed $156,000.00; and
WHEREAS, the State Department of Community Affairs has approved the above-described extension of the emergency contract (a copy of the State Department of Community Affairs Waiver is attached hereto and made a part hereof).
NOW, THEREFORE, BE IT RESOLVED BY THE MUNICIPAL COUNCIL OF THE CITY OF NEWARK, NEW JERSEY, THAT:
1. The Mayor and/or his designee, the Director of the Department of Health and Community Wellness, are authorized to extend Emergency Contract #E2016-04 with Laboratory Corporation of America Holdings, 69 First Avenue, Raritan, New Jersey 08869, for (120) days from April 2, 2016, until July 31, 2016, or until the contract authorized by Resolution 7R1-f 050416 takes effect, whichever occurs first, in the amount not to exceed $156,000.00.
2. The above-described extension of emergency contract resolution is hereby ratified from April 2, 2016 to the date of adoption of this authorizing resolution.
3. Attached hereto is a Certification of Funds from the Municipal Comptroller of the City of Newark which states that there are sufficient funds for the purpose set forth hereinabove and that the line appropriation of the official budget which shall be charged is Business Unit NW 051, Dept. ID G16, Division/Project H26G0, Account # 72010, Budget Ref. B2016.
4. An executed copy of said resolution shall be filed with the Office of the City Clerk by the Director of the Department of Health and Community Wellness.
5. The total amount of said contract shall not exceed $156,000.00 and shall be paid by a Health Resources Services Administration (HRSA) Grant.
STATEMENT
This resolution ratifies and authorizes the Mayor and/or his designee, the Director of the Department of Health and Community Wellness, to extend Emergency Contract E2016-04 with Laboratory Corporation of America Holdings, for the period of April 2, 2016 to July 31, 2016, or until the contract authorized by Resolution 7R1-f 050416 takes effect, whichever occurs first, at a cost not to exceed $156,000.00.
