WHEREAS, the City of Newark Department of Health and Community Wellness, wishes to provide system support maintenance and enhancement including dental services for an existing licensed oracle/practice management electronic medical record system implementation consistent with N.J.S.A. 40A:11-5(1)(dd) et seq., and is compliance with; and

 

WHEREAS, on November 13, 2015, the Department of Health and Community Wellness consistent with N.J.S.A.19:44A-20.5, advertised a Request for Qualifications, a copy of which is attached, under the Fair and Open Process. The Request for Qualifications return date was December 16, 2015; and

 

WHEREAS, the contract awarded pursuant to the Fair and Open Process of N.J.S.A.19:44A-20.5, pursuant to Local Public Contracts Law N.J.S.A. 40A:11-1, and is in compliance with the Ordinance on Pay-to-Play; and

 

WHEREAS, on December 16, 2015, the Department of Health and Community Wellness received one (1) Response to the Request for Qualification, which was opened on  December 16, 2015, and entered on the bid tabulation sheet, a copy of which is attached; and

 

WHEREAS, Greenway EHS, Inc., (the “Contractor”), an Alabama Corporation, with its principal address of One Metroplex Drive, Suite 500, Birmingham, Alabama 35209, the only proposal received, has represented that they are qualified by training and experience to provide the required services in the manner and the terms and conditions set forth in the proposed contract; and

 

 

WHEREAS, the qualifications received from Greenway EHS, Inc., was most advantageous to the City of Newark based on experience and on criteria as listed on the Request for Qualification; and

 

WHEREAS, the City of Newark wishes to enter into an agreement with the Contractor, Greenway EHS, Inc., One Metroplex Drive, Suite 500, Birmingham, Alabama 35209, to provide support, maintenance and enhancement including dental services for an existing licensed Practice Management/Electronic Medical Records System, in the amount not to exceed Four Hundred Eighty Thousand Dollars and Zero Cents ($480,000.00); and

 

WHEREAS, the Municipal Council adopted the Contractor Pay-to-Play Reform Ordinance, R.O. 2:4-22C, which forbids the award of a contract to a Business Entity, as defined therein, which has made or solicited political contributions to Newark Municipal Candidates, office holders having ultimate responsibility for the award of a contract; candidate committees of the aforementioned candidates; and political or political party committees of the City of Newark or County of Essex; and continuing political committees or political action committees regularly engaged in the support of the City of Newark municipal or County of Essex elections; and certain other political party or candidate committees, in excess of certain thresholds; and

 

WHEREAS, this contract shall be awarded as an open-ended contract and shall not exceed Four Hundred Eighty Thousand Dollars and Zero Cents ($480,000.00), to provide support, maintenance and enhancement including dental services, for an existing licensed Practice Management System Electronic Medical Records System for an existing Comprehensive Practice Management System, of the City’s Federally Qualified Health Centers, and licensing, support and maintenance for two new sites to include a Women’s Health Center and Bradley Court Clinic, for a period of January 2, 2016 through December 31, 2016, with an option to extend or renew for an additional one (1) year term, subject to Municipal Council approval.

 

NOW, THEREFORE, BE IT RESOLVED BY THE MUNICIPAL COUNCIL OF THE CITY OF NEWARK, NEW JERSEY, THAT:

 

1.                     The Mayor and/or his designee, the Director of the Department of Health and Community Wellness, is authorized to enter into and execute a contract with Greenway EHS, Inc., One Metroplex Drive, Suite 500, Birmingham, Alabama 35209, this contract shall not exceed Four Hundred Eighty Thousand Dollars and Zero Cents ($480,000.00), to provide support, maintenance and enhancement including dental services for an existing licensed Practice Management/Electronic Medical Records System of the City’s Federally Qualified Health Centers, and licensing, support and maintenance for two new sites to include a Women’s Health Center and Bradley Court Clinic, for a period of January 2, 2016 through December 31, 2016, with an option to extend or renew for an additional one (1) year term.

 

2.                     The contract between the City of Newark and Greenway EHS, Inc. is ratified from January 2, 2016 to the date of adoption of this authorizing resolution.

 

3.                     The contract is awarded pursuant to the Fair and Open Process of N.J.S.A. 19:44A-20.5 and pursuant to Local Public Contracts Law (N.J.S.A. 40A:11-4.1), which provides that a contract of this type itself must be available for public inspection.

 

4.                     The contract is further awarded as an open-ended contract pursuant to N.J.A.C. 5:30-5.5(b)(2). A Certification of Funds shall be executed each time services are used and charged against this contract.

 

5.                     Attached hereto is a Certification of Funds from the Municipal Comptroller of the City of Newark, which states there are sufficient funds for the purpose set forth hereinabove. Business Unit NW026; Dept. ID GLP; Account# 46480; Budget Ref. B2016.

 

6.                     A notice of this action shall be published in the newspaper authorized by law to publish a legal advertisement and as required by law within ten (10) days of its passage.

 

7.                     A duly executed copy of the contract shall be filed with the Office of the City Clerk by the Director of the Department of Health and Community Wellness.
