WHEREAS, the City of Newark’s Department of Economic and Housing Development (City) is in the process of entering into a Lease Agreement with Mayor Real Estate, LLC, the record owner of the property located at 197 and 199 North 13th, Street Newark, New Jersey 07107, being Block 1940, Lots 51 and 52 on the Official Tax Maps and Tax Duplicate (2017) of the City of Newark (“Leased Premises”); and

 

WHEREAS, under the terms of the Lease Agreement the City is permitted to use the Leased Premises for the sole purpose of building, maintaining and operating an approved basketball court and playground for use by children in the City and the surrounding areas; and

 

WHEREAS, RPM Development, LLC, founded in 1986 and one of the leading affordable housing developers in New Jersey with many of its projects located within the City, has generously agreed, at no cost to the City or anyone else, to perform all development and construction related activities related to the building of the above-referenced basketball court and playground on the Leased Premises including all labor, materials, equipment and services to fulfill same; and

 

WHEREAS, the City and RPM Development, LLC, have agreed to enter into a Memorandum of Understanding to set fort their respective rights and obligations as it relates to the development and construction related activities of the above-referenced basketball court and playground on the Leased Premises.

 

Now, therefore, be it resolved by the Municipal Council of the City of Newark, New Jersey, that:

 

1.                     The Mayor and/or his designee, the Acting Director of the Department of Economic and Housing Development, are hereby authorized to execute the Memorandum of Understanding (MOU), in the form attached hereto, to set forth the rights and obligations of the City and RPM Development, LLC, as it relates to the construction of an approved basketball court and playground on the property located at 197 and 199 North 13th, Street Newark, New Jersey 07107, being Block 1940, Lots 51 and 52 on the Official Tax Maps and Tax Duplicate (2017) of the City of Newark.

 

2.                     The Municipal Council hereby acknowledges that it has reviewed the MOU and is therefore aware of the contents of the aforementioned MOU, including all of its terms and conditions, (a copy is hereby attached).

 

3.                       The provisions of the MOU shall be effective on the date that this resolution is authorized by the Municipal Council and shall remain in force and effect until the completion of the construction of the basketball court and playground on the property located at 197 and 199 North 13th, Street Newark, New Jersey 07107, being Block 1940, Lots 51 and 52 on the Official Tax Maps and Tax Duplicate (2017) of the City of Newark.

 

4.                     A copy of the fully executed MOU shall be filed in the Office of the City Clerk and made available for public inspection.

 

5.                     This resolution shall take effect immediately.

 

STATEMENT

 

This resolution authorizes the Mayor and/or his designee, Acting Director of the Department of Economic and Housing Development, are hereby authorized to execute the Memorandum of Understanding (MOU) to set forth the rights and obligations of the City and RPM Development, LLC, as it relates to the construction of an approved basketball court and playground on the property located at 197 and 199 North 13th, Street Newark, New Jersey 07107, being Block 1940, Lots 51 and 52 on the Official Tax Maps and Tax Duplicate (2017) of the City of Newark.
