WHEREAS, Kevin Lee Allen Design, Inc., d/b/a KLAD, a Women’s Business Enterprise and Small Business Enterprise, located at 1225 Raymond Boulevard, #403, Newark, New Jersey 07102, wishes to facilitate the conveyance of a gift of homemade masks from Sew The Curve Flat to the City of Newark; and
WHEREAS, Sew The Curve Flat, a volunteer network, wishes to donate to the City of Newark (the “City”), Department of Health and Community Wellness (“DHCW”), approximately one hundred fifty (150) Homemade Masks to supplement Personal Protective Equipment (“PPE”), with an approximate total value of Four Hundred Fifty Dollars and Zero Cents ($450.00), in support of food handling and distribution to the community, during the COVID-19 worldwide pandemic; and
WHEREAS, pursuant to Local Public Contracts Law N.J.S.A. 40A:5-29, a local unit is authorized and empowered to accept bequests, legacies, and gifts made to it and is empowered to utilize such bequests, legacies, and gifts in the manner set forth in the conditions of the bequest, legacy, and gift provided, however, that such bequest, legacy, or gift shall not be put to any use, which is inconsistent with the laws of the State of New Jersey and the United States of America; and
WHEREAS, Sew The Curve Flat is donating the homemade masks, inclusive of labor, at no cost to the City;
WHEREAS, Sew The Curve Flat fully understands and agrees it is not entitled to receive any direct benefit from the City in exchange for its gift; and
WHEREAS, pursuant to N.J.S.A. 40A: 5-29, the DCHW desires to accept the gift of approximately one hundred fifty (150) Homemade Masks from Sew The Curve Flat to supplement PPE, in order to aid with food handling and distribution to the community; and
WHEREAS, the Director of the DHCW, on behalf of the City, desires to provide Sew The Curve Flat and Kevin Lee Allen Design, Inc., d/b/a KLAD, with a Hold Harmless Agreement, should it be requested, to indemnity Sew The Curve Flat and KLAD from any damage, injury or illness that may occur from providing approximately one hundred fifty (150) Homemade Masks to supplement PPE, as a gift to the City.
NOW, THEREFORE, BE IT RESOLVED BY THE MUNICIPAL COUNCIL OF THE CITY OF NEWARK, NEW JERSEY, THAT:
1. The Municipal Council authorizes the Director of the Department of Health and Community Wellness, on behalf of the City of Newark, to accept the gift from Sew The Curve Flat, facilitated by Kevin Lee Allen Design, Inc., d/b/a KLAD, 1225 Raymond Boulevard, #403, Newark, New Jersey 07102, of approximately one hundred fifty (150) Homemade Masks, with an approximate total value of Four Hundred Fifty Dollars and Zero Cents ($450.00), to supplement Personal Protective Equipment, to aid with food handling and distribution to the community.
2. No municipal funds shall be expended for the acceptance of this gift.
3. The City is authorized, if requested by Sew The Curve Flat and KLAD, to hold both entities harmless and indemnify them for their assistance and gift to the City.
4. The Director of Health and Community Wellness shall file a copy of the gift letter and a hold harmless agreement, if requested, in the Office of the City Clerk
STATEMENT
This resolution authorizes the Director of the Department of Health and Community Wellness, on behalf of the City of Newark, to accept the gift of approximately one hundred fifty (150) Homemade Masks from Sew The Curve Flat, facilitated by Kevin Lee Allen Design, Inc., d/b/a KLAD, 1225 Raymond Boulevard, #403, Newark, New Jersey 07102, to supplement Personal Protective Equipment, in support of food handling and distribution to the community, during the COVID-19 worldwide pandemic. This gift is at no cost to the City of Newark, and the City will provide a Hold Harmless Agreement, if requested.
