WHEREAS, the City of Newark is involved in the ongoing implementation of E-ticketing, which has resulted in operational and productivity improvements in Municipal Court and the Newark Police Department the issuance and processing of traffic tickets; and
WHEREAS, the City of Newark issued a Request for Proposals for a Turn-key Electronic Ticketing Solution on August 12, 2012; and
WHEREAS, on or about September 12, 2012 the Office of the Business Administrator and the Newark Police Department found Gold Type Business Machines, Inc., 351 Patterson Avenue, East Rutherford, New Jersey 07103, as the sole respondent, to be the most advantageous to the City in regard to services and cost; and
WHEREAS, the Newark Municipal Council by Resolution 7R1-I adopted on September 19, 2012 awarded a contract to Gold Type Business Machines, Inc., 351 Patterson Avenue, East Rutherford, New Jersey 07103, to provide Turn-key Electronic Ticketing Solution and associated hardware that will interface seamlessly with the New Jersey Administrative Office of the Courts (AOC) in the amount of $1,505,920.00, for a period of five (5) years with a termination date of September 19, 2017; and
WHEREAS, the City in conjunction with Administration and the Newark Police Department desire to install E-ticketing devices in twenty (20) additional police vehicles; and
WHEREAS, to effectuate the purchase of the twenty additional devices to expand E-Ticketing in the Newark Police Department, the current contract may be amended with Gold Type Business Machines, Inc., by increasing the amount of the contract by $427,763.00 for a total contract amount of $1,933,683.00; and
WHEREAS, the amended contract, as with original contract, will be paid from recurring cost savings and from fines collected from the payment of tickets; and
WHEREAS, the contract includes costs of system maintenance and replacement of equipment and will require no upfront operating or capital expenditures by the City of Newark; and
WHEREAS, the award of this contract is awarded as a non-fair and open process pursuant to the Local Unit Pay-to-Play Law, N.J.S.A. 19:44A-10.5 et seq. and is in compliance with: Executive Order Number MEO-07-0001 (hereinafter "Pay-to-Play Executive Order") which requires reporting of political contributions to Newark Municipal Candidates and prohibits certain political contributions during the duration of the contract; and Revised Ordinance 2:4-22C, Contractor Pay-to-Play Reform, which forbids, inter alia, the award of a contract to a Business Entity (and subcontractors), as defined therein, which has made or solicited political contributions to Newark Municipal and County of Essex Candidates, office holders having ultimate responsibility for the award of a contract; candidate committees of the aforementioned candidates; and political or political party committees of the City of Newark or County of Essex; and continuing political committees or political action committees regularly engaged in the support of City of Newark municipal or County of Essex elections and/or City of Newark municipal or County of Essex candidates, candidate committees, political committees, political parties, political party committees, (hereinafter "PACs"), in excess of the thresholds set forth in the ordinance, within one (1) calendar year immediately preceding the date of the contract or agreement.
NOW, THEREFORE, BE IT RESOLVED BY THE MUNICIPAL COUNCIL OF THE CITY OF NEWARK, NEW JERSEY, THAT
1. The Mayor and/or his designees, the Business Administrator and the Director of the Police Department are hereby authorized on behalf of the City of Newark to enter into and execute an amended contract with Gold Type Business Machines, Inc., 351 Patterson Avenue, East Rutherford, New Jersey 07103, to provide Turn-key Electronic Ticketing Solution and associated hardware and installation of E-ticketing devices in twenty (20) additional police vehicles for an increased contract amount of $427,763.00, for a total contract amount of $1,933,683.00, for a period of five (5) years, with a termination date of September 19, 2017.
2. All other terms and conditions of the contract shall remain the same.
3. This contract amendment is pursuant to the Non-Fair and Open Procedures of the State Pay-to-Play Law (N.J.S.A. 19:44A-20.5) and is in compliance with Executive Order MEO-07-0001, effective March 31, 2007 and the Contractor Pay to Play Ordinance, 6PSF-A adopted on August 1, 2012.
4. Gold Type Business Machines, Inc., (GTBM) 351 Patterson Avenue, East Rutherford, New Jersey 07103 has certified that it has neither made nor will make a prohibited contribution in violation of any applicable federal or state laws, or City Ordinances, including but not limited to the Executive Order on Pay-to-Play Reform (MEO-7-0001) and Revised Ordinance 2:4-22C, Contractor Pay-to-Play Reform, as may be amended from time to time. Any such failure shall constitute a breach of the Contract.
5. The Amended Contract, as with original contract, will be paid quarterly from money collected from the payment of tickets and will include costs of system maintenance and require no upfront operating or capital expenditures from the City of Newark.
6. A copy of the executed Amended Contract herein authorized shall be filed in the Office of the City Clerk by the Director of the Police Department and shall be made available for public inspection.
7. A notice of this action shall be published in the newspaper authorized by law to publish a legal advertisement and as required by law within ten (10) days of the adoption of this resolution.
8. If required by State Law, the City Clerk shall provide appropriate notice of the award of this contract to the State Comptroller no later than twenty business days following such award, in accordance with N.J.S.A. 52:15C-10 and the Notice of the Office of the State Comptroller dated May 7, 2008.
STATEMENT:
This resolution hereby amends and authorizes the Mayor and/or his designees, the Business Administrator and the Director of the Police Department to enter into and execute an amended contract with Gold Type Business Machines, Inc., 351 Patterson Avenue, East Rutherford, New Jersey 07103 to provide Turn-key Electronic Ticketing Solution and associated hardware to install E-ticketing devices in twenty (20) additional police vehicles for an increased contract amount of $427,763.00, for a total contract amount of $1,933,683.00, for a period of five (5) years from the effective date of September 19, 2012 to the termination date of September 19, 2017.
