WHEREAS, the Prudential Foundation (the "Foundation") provides grants that support effective programs that focus on education, economic development and arts & civic infrastructure; and

WHEREAS, the Greater Newark Tourism Improvement District Management Corporation (the "Greater Newark Convention & Visitors Bureau", "GNCVB"), located at 60 Park Place, Suite 104, Newark, NJ 07102, submitted an application on behalf of the City of Newark (the "City") to the Foundation to receive grant funds to create a formal walking path(s) in Downtown Newark that highlights some of the City's most important cultural and historical sites; and

WHEREAS, the GNCVB received an award from the Foundation in the amount of $300,000.00 to create a 5k walking trail featuring 83 points of interest in the City of Newark that include landmark buildings, sculptures and monuments; and
